Risk Management for Private Sector Hydropower Investors

Abstract

Investment in hydropower entails certain uncertainties which amount to risks for an investor. An investor is required to identify such risks and assess the impact of such risks on his financial health. In order to ensure better financial health, an investor is required to mitigate the impact of risk which depends on management of the risks. The main risks range from monetary risks, country risks, market and revenue risks, and risks related to implementation of the project.


Risks
People come across risk in every walk in life. Risks emanate from uncertainty which is inherent in most of the investment decisions. It is said that “nothing ventured, nothing gained.” Financing a hydropower project is very heavily dependent on prudent management of risk. Actually financing power system is the function of risk management. Besides the investor, the project proponent, energy off-taker, project implementer, government and even financier need to mange their own risks.

Management of risk involves identification of various risks associated with a project and assessment thereof. However, the most important step lies in arranging measures to mitigate such risks including an effective insurance program. Simply put, risk management entails shifting and/or sharing risks. Let us take a look at certain important risks from the perspective mentioned here.

Foreign Exchange Risk
A developer can borrow locally or from foreign institutions and the conditions with regard to security will be same. However, the borrower’s exposure to certain risk will be different. There are mainly two types of risks that a borrower needs to be aware of while borrowing from a foreign lender.

Foreign exchange risk is inherent in foreign loan due to the fact that foreign currency tends to be relatively strong compared to Nepali currency (it has been a little different for last few years due to weakening dollar). This risk materializes with devaluation if revenue is denominated in local currency while having to service the loan denominated in foreign currency. Similarly, this risk may also be manifest in rising cost of imports. This risk can be mitigated by (a) either having the loan denominated in local currency or (b) rate of revenue denominated in foreign currency.

A foreign investor is also exposed to this risk if the currency of the host country is weak and is subject to devaluation vis-à-vis his own currency. Foreign investors have insisted on denominating the revenue stream in hard currency in order to avoid being exposed to this risk.

The foreign exchange risk is also manifest in the increasing cost of imports. Now-a-days insurance coverage could be arranged against cost escalation due to declining value of the local currency.

Repatriation Risk
Another risk associated with foreign loan is “repatriation risk.” This becomes of greater concern to a lender whether it will be able to repatriate the proceeds of debt servicing. Generally governments of developing countries, in their quest to attract foreign investment, have enacted legislation guaranteeing repatriation. If such a guarantee is not available, either the lender will not make a loan or will make it subject to exorbitant rates of interest. In Nepal repatriation is guaranteed by Foreign Investment & Technology Transfer Act, 1992 and Electricity Act, 1992 for hydropower projects.

A foreign investor is also exposed to this risk. However, countries aspiring to attract foreign investment do ensure repatriation of return on equity as well as proceed from the sale of such ownership stake.

Sovereign Risk (Country Risk)
A foreign entrepreneur investing in Nepal is exposed to risks such as those associated with the government’s creditworthiness, the possibility of expropriation and nationalization, changes in the local political environment, and enforceability of contracts. These types of risk are known as sovereign or country risk. Multilateral Investment Guarantee Association (MIGA), a member of The World Bank Group does provide insure against such risk at a fee. However, the availability of such insurance is limited only to foreign investors.

Interest Rate Risk
It is now time we also touched upon the concept of interest rate risk. Lenders offer two kinds of interest rates: (a) floating rate and (b) fixed rate. Floating rate entails changes in the interest rate during the term of the loan, thereby introducing an element of uncertainty or risk for the borrower. Banks prefer floating rate as they need to be able to adapt to changes in financial market as well as to cover their own exposure to the vagaries of changing interest rates (including bank rate). For a developer fixed rate is the best way to mitigate this risk. However, banks tend to add a margin to the then prevalent rate to cushion their own risk if they are asked to offer fixed interest rate.

Inflation Risk
The real value of a unit of nominal currency tends to depreciate over time with inflation. This phenomenon is universal – irrespective of strong or weak economy of the host country. Even hard currency is subject to this risk. Escalation in the rate of tariff is the only answer, as it is not possible hold down the inflation at any cost.

Legislative Change Risk
Here we are talking about the risk of changes in the country’s laws that (a) increases rates and taxes or other expenses and liabilities (b) reduces revenue of the project or (c) reduces the value of the assets. Such changes impact the viability of a project adversely. Generally an entrepreneur has to take such risk. However, it can also be mitigated by passing the impact through to the utility provided that the utility is amenable to such pass through.

Market Risk
It is common knowledge amongst engineering community that energy requires guaranteed market due to the constraint with regard to, primarily, storage and transmission. A simple way to mitigate this risk is to sign a long term Power Purchase Agreement (PPA) with the utility.

Revenue Risk
A developer can have a long term PPA but such a PPA also may not ensure plant load factor at a specific level if the utility accepts delivery of the energy at its pleasure, mainly in the case of a run-of-the-river type of project. This means there may not be a guaranteed stream of revenue to the project in order for it to meet its financial obligations with regard to (a) operation, maintenance and repairs, (b) debt servicing (c) and also assuring a reasonable return on investment to the investors. “Take or pay” type of PPA mitigates this risk which entails the energy off-taker accepting dispatch of all contract energy and, if unable to accept as such then paying for all contract energy even if it is not able to dispatch full quantum of the such energy.

However, with respect to both market risks and revenue risk, it needs to be noted that people are not only setting up merchant plants but the electric energy is also being traded in the spot market in Western countries.

Payment Risk
This risk emanates from the lack of creditworthiness on the part of the utility, buyer of the energy. In many developing countries, state-owned utilities do not have established credit histories and also suffer from records of poor management, over-employment, high leakage (technical or otherwise), etc.

Developers are known to ask the government to issue counter guarantee to cover for the payment risk. This basically entails a government standing surety to ensure that the utility pays its dues to the developer in time and in the case of the utility’s failure to meet its obligations the government is required to promptly make payments to mitigate the delinquency of the utility. Now-a-days multilateral funding agencies like the World Bank take a dim view of a government issuing counter guarantee. Having a letter of credit put in place by the utility with the IPP as the beneficiary is another way of mitigating this risk for short term.

Construction Risks
Time and cost overrun risks is one group of construction risk of which time overrun risk results in loss of revenue as well while it also raises total amount of interest during construction of the debt financing and may even attract penalty for late delivery of energy. Other construction risks are force majeure risk, socioeconomic/environmental risk, geological risk, performance risk, design risk, etc. One can arrange insurance coverage against such risk like contractor’s all risk (CAR), transportation all risk (TAR), erection all risk (EAR), professional liability etc. including “advance loss of profit insurance” which can be complemented by signing a “fixed price” turnkey contract and incorporating a clause for imposition of liquidated damages on the contractor for delayed substantial completion or commissioning of the plant.

An investor also does face risk due to gaps and cracks between various contracts if there is more than one contract for the implementation of a project. This can be mitigated by signing engineering, procurement and construction (EPC) contract.

Hydrological Risk
The “take-or-pay” nature of the PPA guarantees the fact that all energy produced by a plant, depending on the availability of water, irrespective of whether the season is dry or wet, shall be turned into cash. However, if there is no water to generate energy due to the change in the level of precipitation, climatic reason or change in the hydrology of the catchment area then these projects are on their own. This risk emanates from the fact that seasonal rainfall patterns affect the amount of water available to a hydropower plant and generation may fall below contract levels in any season, thus threatening the revenue stream of such projects. Obviously a dry year will be an unmitigated disaster for a hydropower plant. The most effective way to mitigate hydrologic risk is to gather hydrological data for a reasonable number of years in the past and design the project accordingly after having selected a project with better hydrological potential as well as information.

Conclusion
There is no need to be frightened by the list of risks dealt with above as most of the risks can be mitigated some way or other. There is an old saying that no risk, no gain. The entrepreneurship lies in taking risk and also being able to manage it. If an investor is able to do so then there is ample opportunity to invest in the hydropower sector of the world.

नेपालको जलस्रोत र जलबिद्युत

रत्न संसार श्रेष्ठ

नेपालमा जलराजनीतिको समीकरण (paradigm) नै ठिक छैन । यस सम्बन्धमा छलफल सुरु गर्न चाहन्छु । नेपाल उत्तरमा र दक्षिण भारतमा छ । त्यस्तै क्यानडा उत्तरमा दक्षिणमा संयुक्त राज्य अमेरिका पर्दछ । भौगोलिक अवस्थितिको हिसाबले तुलना गर्न मिल्छ । क्यानडामा नदी र पहाड छन् र त्यहां जलाशय निर्माण गर्ने उपयुक्ततामा हाम्रो जस्तै छ । पश्चिम सेती आयोजना निर्माण गर्दा डोटी डडेल्धुरा बझाङ र बैतडी जिल्लाको झण्डै ३००० हजार हेक्टर क्षेत्रफलको वन जंगल जग्गा जमिन बिद्यमान पूर्वाधार संरचना समेत डुवानमा पर्ने र ७५० मेगावाट बिजुली उत्पादन गरेर भारत निकासी गर्ने योजना बनेको छ । खेतीयोग्य जमिन वन जंगल जस्ता नेपालको भूभाग डुवानमा पारेर १५००० नेपाली जनतालाई विस्थापित गरेर त्यो जलाशय निर्माण हुन्छ । त्यसबाट निस्केको बिजुली निकासी हुन्छ । नेपालले १० प्रतिशत निशुल्क पाउंछ तर नेपालको त्यतिधेरै भू-भाग डुवानमा पारेर सुख्खायाममा थप उपलब्ध/आपुर्ति हुने पानी भारतलाई निशुल्क दिदै छौं । क्यानडा र अमेरिका बीच कोलम्बिया नदीमा निर्मित जलाशययुक्त आयोजनाको स्थिति यस्तै छ तर फरक के छ भने क्यानडाले आफ्नो भू-भाग डुवानमा पार्ने र अमेरिकालाई बढी बिजुली र सुख्खायाममा थप पानी उपलब्ध हुने हुनाले त्यसरी उपलब्ध हुने पानीको मूल्याङ्कन गरेर त्यसको मुल्य एकमुष्ठ लिएको छ र जलाशय निर्माण गरेको कारणले उत्पादन हुने थप बिजुली पनि आधा प्राप्त गरेको छ ।

तर हामी पानी निशुल्क/सित्तिमा दिदै छौं अनि बिजुली १० प्रतिशत मात्र लिएर िदंदैछौं । अब तुलना गरौं क्यानाडा र अमेरिका बीच सम्पन्न कोलम्बिया सन्धी र नेपालको पश्चिम सेती सम्बन्धी सम्झौता । त्यसमा गुदी कुरा के छ भने क्यानडाले आपुूलाई सार्वभौमसत्ता सम्पन्न स्वतन्त्र राज्य भनेर स्थापित गर् यो । आफ्नो राष्ट्रिय स्वाभिमानलाई गुमाएन । त्यसैले उनले कोलम्बिया सन्धीबाट यथोचित फाइदा लिएको छ । तर नेपाल भनेको भारतीय भूभाग हो भन्ने जस्तो मानसिकता भारतीय शासकवर्गमा पाइन्छ र तद्अनुरुप यो सम्झौता भएकोछ जसमा नेपाली नेतृत्ववर्गले असहमति जनाउन सकेको छैन ।

यो आयोजना बनाइएर सुख्खायाममा थप उपलब्ध हुने दैनिक ७.७५ अरब लिटर पानीले नेपालकै भू-भाग िसंचित गर्ने भएको भए नेपालको केही भू-भाग डुबे पनि अन्य धेरै जिल्लाहरुमा पानीको उपयोग गर्न सकिन्थ्यो र कृषि उत्पादन दशौं गुणा बढ्थ्यो । तर नेपालको भू-भाग डुवानमा पर्ने अनि बाढी नियन्त्रण सुख्खायाममा सिाचाई औद्योगिक प्रयोग खानलाई पानी आदि भारतलाई निशुल्क दिइनाले नेपालको अहित भएको टड्कारो देख्न सकिन्छ । ठाडै राष्ट्रघात भएकोछ ।

अमेरिका र क्यानडा बीचको कोलम्बिया सन्धी अन्तर्गत क्यानडाले आफ्नो केही भूभाग डुवानमा परेर अमेरिकालाई फाइदा हुने हुनाले उसले तल्लो तटीय लाभ बापत अमेरिकाबाट ६.४ करोड अमेरिकि डलर प्राप्त गर् यो तर नेपालको सन्दर्भमा तल्लो तटीय लाभको कुरा सान्दर्भिक नैं मानिएन । स्मरणिय छ भारतको प्रभु कमिसनले पनि पश्चिम सेती आयोजनामा निर्माण गरिने जलाशयको कारणले भारतको तल्लो तटीय क्षेत्रमा हुने लाभ बापत नेपाललाई केही रकम दिने सिफारिस गरेको थियो । तर नेपालको नेतृत्वतहलाई यसको मतलब छैन । भारत प्रति समर्पण भाव देखाउंदै भारत खुशी पार्न दिलोज्यानले लागेको देखिन्छ ।

नेपालले खाली १० प्रतिशत निशुल्क ऊर्जा प्राप्त गर्ने गरी सम्झौता गरेर आयोजना भारतलाई सुम्पिदैछ । समस्या के भने शासकवर्गले नेपाल एउटा छुट्टै सार्बभौमसत्ता सम्पन्न स्वतन्त्र राज्य हो भन्ने कुरा बुझ्न नसकेको देखियो जसरी क्यानडाको शासकले बुझे । नेपालका पढेलेखेका मानिसहरु पनि नगन्य सानो लाभको बहानामा राज्यको सर्वस्व नै गुमाउन तयार देखिन्छन् किनकि पश्चिम सेतीको सवालमा पनि कतिपय बुर्जवाहरुले सानै भौतिक निर्माण कार्य सम्पन्न हुने लोभमा फंसेर सदाको लागि सम्पूर्ण पश्चिम सेती दिन सहमति जनाउंदै छन् - यसबाट सुपथ मूल्यमा उत्पादन हुने बिजुली र सुख्खायाममा थप पानी । जसरी महाकाली दिइयो । आयोजना ३० वर्षको लागि भएको देखाइएकोले ९० प्रतिशत बिजुली सम्म भारतले ३० वर्षको लागि प्राप्त गर्छ । तर पानीको हकमा बिद्यमान उपभोग्य उपयोग existing prior consumptive use को सिद्धान्तको कारणले सदाको लागि भारतको हुन जाने अवस्थाको श्रृजना भएको छ ।

पश्चिम सेती आयोजना क्षेत्रमा सडक जस्ता केही पूर्वाधार निर्माण हुने प्रलोभनमा दैनिक ७ अर्ब ७५ करोड लिटर पानी भारतलाई निशुल्क दिइंदै छ भारतीय भूभागमा बाढी नियन्त्रणको कुरा अलग्गै छ । के यो बुद्धिमानी हो जबकि काठमाडौंको खानेपानी समस्या समाधानार्थ ल्याउने मेलम्चीबाट दैनिक १७ करोड लिटर प्राप्त हुन्छ तर लागत २५ अरब छ । तर ७।७५ अरब लिटर दैनिक पानी निशुल्क भारतलाई दिदै छौंं । त्यति पानी प्राप्त गर्नको लागि भारतले कति लगानी गर्नुपदथ्यो यस तर्फ कसैले बिचार पुर् याएको देखिन्न ।

नेपालको भू-भाग डुवानमा परेर सुख्खायाममा जुन पानी जांदै छ त्यसको कुनै हिसाब किताब गरिएन । डुवान क्षेत्रमा परेकाहरु विस्थापित हुन्छन् । जसलाई पुनस्र्थापित गरिनुपर्दछ । तर पुनःस्थापना पनि त नेपाली भूमीमा नैं गरिन्छ डुबानमा परेको झण्डै ३ हजार हेक्टर जमिनको सट्टाभर्ना भारतबाट ल्याइने होइन । के पुनस्र्थापनको लागि भारतले जमिन उपलब्ध गराउछ जबकि भारतकै अभिष्ट पूरा गर्नको लागि उक्त जमिन डुवानमा परेको छ । के जमिन उत्पादन गर्न सकिने वस्तु हो पुनःस्थापनाको लागि नेपालले अन्यन्त्र जमिन उपलब्ध गराउंदा थप वन जंगल फडानी हुन पुग्दछ । यसरी भारतको लागि नेपालको भूमि दुईपटक प्रयोग हुन्छ । एक पटक डुवानमा परेर त अर्को पटक डुवानमा परेको जनतालाई पुनःस्थापनाको नाममा ।

यो कुरा सामान्य जनताले नबुझेको हुनसक्छ तर आपुूलाई बुद्धिजीवि भन्नेहरुले किन बुझेर पनि बुझ पचाएर सानो तथाकथित फाइदाको लागि िसंगो जलस्रोतमाथि नै खेलवाड गरिहेको छन् । कतिपयलाई व्यक्तिगत लाभ पनि पक्कै हुन्छ । तर राष्ट्रघात गरेर यसरी प्राप्त गरिने लाभले अन्ततः यिनको अन्तस्करणलाई भोलि बिझाउंदैन ।

प्रमुख कुरा के भने दैनिक ७ अर्ब ७५ करोड लिटर पानी जुन सुख्खायाममा भारत जान्छ त्यसको मूल्य खैं यस्तो पानी प्रयोग गरेर बरु हाम्रा भू-भाग सिाचाई गरौंन त । तर यता कुनै सोच छैन । नेपालको भूमि डुवानमा पारेर भारतलाई बिजुली र पानी दिने के यो ठिक हो त के हुनुपथ्र्यौ त भन्दा त्यो आयोजना बहुउद्देश्यीय बनाएर नेपालकै उर्बर जमिनको लागि पानी सदुपयोग गरिनुपर्दथ्यो । त्यसो गर्न नसकिने वा नमिल्ने अवस्था थिएन । मिल्दै मिलेन भने कोलम्बिया सन्धीको अवधारण अनुरुप गर्न सकिन्थ्यो ।

अर्थात नेपाली भूभाग डुबानमा पारेर भारत स्थित तल्लो तटीय क्षेत्रमा सुख्खायाममा थप पानी उपलब्ध गराइने हुनाले यस बापत क्यानाडाले अमेरिकासंग लिए जस्तै एकमुष्ट रकम लिएर यो आयोजनामा नेपाल राज्य आफैले लगानि गर्ने । नपुग पूंजीको लागि निजी सार्वजनिक साझेदारीको अवधारणा अनुरुप नेपाल भित्रै परिचालन गर्ने नपुगको लागि बिदेशीलाई मौका दिने । यसै गरेर कोलम्बिया सन्धी अवलम्बन गर्दै नेपाली भूभाग डुबानमा पारिएर थप उत्पादन हुने बिजुली ६५० मेगावाटको आधा अर्थात ३२५ मेगावाट नेपालले निशुल्क प्राप्त गर्न पर्दथ्यो किनभने जलाशय नबनाउने हो भने प्रस्तावित आयोजना स्थलबाट १०० मेगावाट मात्र उत्पादन हुन्छ ७५० मेगावाट होइन ।

नेपालको शासकवर्गमा जलस्रोत भनेको जलविद्युत मात्रै भन्ने छ । ऊर्जा धेरै श्रोतहरुबाट पनि उत्पादन हुन्छ । तर पानीको विकल्प छैन खानेपानी सरसफाई सिाचाई उद्योग जलपर्यटन धार्मिक कार्य आदि पानी बाहेक अरु कुनै चीजबाट हुनेवाला छैन । संसारमा दुई तिहाई पानी र एक तिहाई मात्र जमिन छ भनिन्छ । तर अधिकांश नुनिलो पानी हो । कुनै काम लाग्दैन । संसारमा जम्मा ३ प्रतिशत मात्र स्वच्छ पानी छ जुन उपभोग गर्न योग्य छ । हामीसंग भएको पानि स्वच्छ हो जुन बहुमूल्य छ । मध्य पूर्वमा बिगतमा युद्ध भए पेट्रोलियम पदार्थको लागि तर पानीको लागि पनि झगडा भई सकेको छ । अबको विश्व युद्ध नैं पानीको लागि हुनेवाला छ ।

तर नेपालीहरुले पानीको महत्व बुझिरहेका छैनन् । माथिल्लो कर्णालको बारेमा कुरा गर्दा यसबाट ३०० मेगावाट क्षमताको बनाउने र भारत निकासी गर्ने अनि नेपालले १२ प्रतिशत निशुल्क लिने सम्झौता भएको छ । यो मगन्ते नीति हो । सावा नै छाडेर व्याजमा सन्तुष्टि के हो यस्तो नीति जुन आयोजना स्थलबाट ३०० मेगावाट उत्पादन गर्ने लक्ष्य लिएकोछ त्यो त ४१८० मेगावाटको आयोजना स्थल हो । ३६ मेगावाट निशुल्क पाउने प्रलोभनमा जलाशययुक्त ४१८० मेगावाट विकास गर्ने अवसरबाट नेपाल बंचित हुने भई सकेको छ । जलाशययुक्त बनाइएर त्यो पानी नेपाली जग्गा जमिनको सिाचाईमा लागि प्रयोग गरिनुपर्दथ्यो । निशुल्क बिजुलीकै नीति पछ्याए पनि पूरा क्षमताको बन्दा त त्यहांबाट १२ प्रतिशतको दरले पनि हामीले ५०१ मेगावाट निशुल्क पाउनेथियौ । त्यसमा देशप्रति गद्दारी गरियो । किनभने पहिलो कुरा सम्भाव्य क्षमता अनुरुपको बिजुली निकाल्ने योजना बनाइएन । दोस्रो निकालिने बिजुली भारत जाने भयो । तेस्रो बहुउद्देश्यीय भएन । लगानी जसले गरे तापनि उपयोग पहिला नेपालले गर्नुपर्दछ । देशलाई औद्योगिकीकरण गर्नको लागि बिजुलीको प्रयोग गर्न सकिन्छ । नेपाली जनता बिद्युत कटौतीको मारमा परिरहेको बेलामा भारत निकासीकोलागि आयोजना बनाईएर राष्ट्रिय स्वार्थ पूर्ति हुन्न ।

अरुण तेस्रोको कुरा गर्ने हो भने त्यो पनि निर्यात मूलक बनाइने भएको छ । त्यसबाट २१।९ प्रतिशत बिजुली निशुल्क पाइन्छ । त्यसरी जम्मा ८८ मेगावाट बिजुली पाइन्छ । पश्चिम सेती माथिल्लो कर्णाली लगायत यी तीनैवटा आयोजनाहरु एकदमै कम लागतमा बन्ने आयोजनाहरु हुन् । पश्चिम सेतीबाट बिजुली प्रतियुनिट रु ३.१० मा भारत निकासी गर्ने बन्दोबस्त भईसकेको छ । तर अहिले नेपालले भारतबाट प्रतियुनिट झण्डै रु ८ का दरले किनिरहेछौं ।

यी आयोजनाहरु सकेजति नेपाल भित्रैबाट लगानि परिचालन गरेर नपुग बिदेशी पूंजी परिचानले गरेर बनाउने र बिजुली नेपालभित्रै खपत गर्ने लक्ष्य रािखन पथ्र्यो । नेपाल भित्र खपत हुन नसकेर बांकी बिजुली मात्र भारत निकासी गर्ने नीति लिइनु पथ्र्यो त्यो पनि राम्रो मूल्य लिएर । अरुण तेस्रोबाट निष्कने बिजुली हिउंद वर्षा नै लगभग एकै नासले निस्कन्छ र बिजुली सस्तो पर्दछ । पूर्वांचल र मध्यमांचल क्षेत्रहरुमा खपत हुने प्रसस्त ठाउंहरु छ । तर किन भारत निकासीको कुरा गिरंदैछ । नेपालका अन्य नदी नालाबाट बिजुली वर्षामा धेरै उत्पादन हुन्छ भने हिउंदमा कम मात्र उत्पादन हुन्छ तर अरुण तेस्रो भने हिउंद वर्षा नै समान रुपले बिजुली निकाल्न सकिने नदी हो । त्यसैले पनि यो आयोजनाबाट आउने बिजुली नेपालमा नै प्रयोग गर्नुपर्दछ । ८८ मेगावाट सित्तैमा पाउने आशामा सिन्कीको मूल्यमा भारत निकासी हुंदैछ । के हुनपर्दछ भने लगानी जसले गरे तापनि उपयोग नेपालैभित्र हुनुपर् यो । बङ्गलादेशले भारतको त्रिपुरा राज्यबाट बिजुली पैठारी गर्ने प्रस्ताव गर् यो । त्यसमा भारतले आफ्नो बिजुलीको दर भारु ७ प्रति युनिट मांग्यो त्यो भनेको नेपाली रु। ११ हुन्छ । हामी भारतलाई त्यही बिजुली कतिमा दिदैछौं त नेरु। ३।१० मा । तर भारतले त्यही बिजुली रु। ११ मा निकासी गर्दछ ।

शासकवर्ग नेपालको जलबिद्युतको बजार नेपालमा देख्दैनन् । नेपालको आर्थिक रुपले सम्भाव्य क्षमता भनिएको ४२००० मेगावाट हालको जनसङ्ख्या साढे दुई करोडले हिसाब गर्दा सबै क्षमताका जलबिद्युत आयोजना बनाउंदा पनि प्रतिव्यक्ति ७००० युनिट पर्दछ । समृद्धशाली पाश्चात्य मूलुकमा प्रतिव्यक्ति बिजुली खपत २०००० युनिट भन्दा बढी हुन्छ । तर हाम्रो आफ्नो सम्पूर्ण क्षमता उपयोग गर्दा पनि पुग्दैन । आगामी २५ वर्षसम्म नेपालको जनसंख्या ४ करोड पुग्नॆ अनुमान गरिएको हुनाले त्यस समयसम्ममा ४२००० मेगावाट बिजुली उत्पादन भएमा पनि प्रतिव्यक्ति बिजुली खपत ४६०० युनिट मात्र हुन आउंछ । १०००० युनिट प्रतिव्यक्ति पुर् याउंन हामीलाई ८४ हजार मेगावाट २५ वर्षभित्र बनाउनुपर्दछ । अब कहा छ त्यत्रो स्रोत कहां छ बजारको अभाव ?

उत्पादित सम्पूर्ण बिजुली घरमा खपत हुने हैन उद्योगधन्दा कलकारखाना यातायात मानवीय सेवा आदि सबै ठाउंको हिसाब गर्दा यति चाहिन्छ प्रतिव्यक्ति । तर हामी कहां यो हुन सक्छ यसको योजना के छ हामीसंग भएको आर्थिक रुपले सम्भाव्य क्षमताबाट निस्कने बिजुली विकसित र सम्पन्न नेपालको लागि कम हुन्छ । वर्तमान लोडसेिडंको कारण पनि शासकहरुमा भएको अदुरदर्शिता नै हो । निकासी तर्फ मात्र बढी केन्द्रित भयो राष्ट्रिय आवश्यकता परिपूर्तिप्रति कुनै सोच नै भएन । उदाहरण दिऔंं कुलेखानी दोश्रो जसबाट ३२ मेगावाट उत्पादन हुन्छ । तर एउटा जेनेरेटर चैत्रमा बिगि्रयो । तर उहांहरुले त्यसलाई आषाढसम्म पूजा गरेर राख्नुभयो । बिग्रनासाथ मर्मत गर्न पठाएको भए अहिले बिद्युत कटौतीको समस्या यति गम्भिर हुन्न थियो । नेपालको कर्मचारीतन्त्र थोरै पैसाले मर्मत गर्दा हुने कुरामा चाख हुंदैन बढी लगानि गर्न पाए मात्र हौसिन्छन् ।

अहिले भएका आयोजनाहरुले पनि पूर्ण क्षमतामा उत्पादन गरेको छैन । समयमा नै मर्मतसंभार गर्ने हो भने केही लोडसेडिग घट्दछ । अर्को १० प्रतिशत प्राविधिक चुहावट छ जुन तार ट्रान्स्फरमर आदिको गुणस्तरमा कमीले गर्दा भएको छ । यिनको गुणस्तरमा सुधार गर्ने हो भने प्राविधिक चुहावत आधा ५ प्रतिशत घटाउन सकिन्छ । ५ प्रतिशत घट्ने भनेको ३० मेगावाट बिजुली थपिए जस्तो हो । यस तरीकाबाट पनि लोडसेिडंग घटाउन सकिन्छ । अर्को उपाय भनेको ग्राहस्थ उपभोक्ताहरुलाई कम्प्याक्ट फ्लोरसेन्ट लाय्म्प CFL प्रयोग गर्न लगाएर गर्न सकिन्थ्यो । किनभने एउटा ६० वाटको साधारण चीमले दिए जतिको उज्याले ११ वाटको CFL ले दिन्छ र बिजुली खपत पनि पांच खण्डको एक खण्ड मात्र हुन्छ । यो परिवर्तन गर्दा पनि बिजुलीको बचत हुन गई लोडसेिडंग घट्न जान्छ । तर काम युद्धस्तरमा हुन पर् यो । CFL को लागि सरकारले पैठारी महशूल छूट दिनुपर्दछ र यस सम्बन्धी जनचेतना पनि जगाउनु पर्दछ । अझ प्राधिकरणको अग्रसरतामा घरघरका चीमहरु फेरिनु पर्दछ ।

बिजुली उत्पादन गरेर खनिज इन्धन माथिको परनिर्भता घटाउने योजना बनाउनुपर्दछ उर्जामा देशलाई आत्मनिर्भर बनाउनुपर्दछ । जलश्रोत बिजुली उत्पादनको लागि मात्र हैन भन्ने कुरा बुझ्नपर्दछ । औद्योगिक विकासमा बिजुली प्रयोग गर्नुपर्दछ । कम लागतमा बन्ने योजनाहरु आपुनो स्रोतबाट बनाउनु प्राथमिकता दिने र जसले लगानी गरे पनि उपयोगमा प्राथमिकता नेपाल र नेपालीले पाउनुपर्दछ । विदेशको लागि भनेर बनाइएको योजनाबाट हुने क्षतिको क्षतिपूर्ति उचित रुपमा हुनुपर्दछ । जल उपयोगमा नेपालले आफ्नो राष्ट्रियता र स्वभिमानलाई सदा उंचो राखेर गर्नुपर्दछ । नेपालको सन्तुलित विकासलाई ध्यानमा राखेर जल उपयोग गर्नुपर्दछ । पर्यायवरणीय विकासमा ध्यान दिएर आयोजना बनाउनुपर्दछ । आर्थिक उन्नति विकासको दृष्टिले अत्यन्तै लाभदायक हुने गरी आयोजना बनाउनुपर्दछ । छिमेकीको विकासको लागि हैन आफ्नो मुलुकको विकास लागि बिजुली उत्पादन गर्दछ । बिजुलीको दररेटलाई पनि उचित समायोजन गरिनुपर्दछ विवेकशील महशूल बनाइनु पर्छ । जस्तो कि विलासिताको लागि उपयोग हुने बिजुलीको उच्च दर राखिनु पर्छ भने अत्यावश्यक सेवाको लागि प्रयोग हुने निमुखाले प्रयोग गर्ने बिजुलीको दर न्यून राखिनु पर्छ ।

बांध आयोगको प्रतिबेदन प्रति आक्रामक एवं आलोचनात्मक प्रतिकृया किन ?

बिश्व बांध आयोगको प्रतिबेदन सम्बधमा गत साता निकै खलबलि सुनियो । जलश्रोत मन्त्रालयका उच्च पदाधिकारीहरु (हाल साबिक दुबै थरी), योजना आयोगका पूर्व पदाधिकारीहरु, वातावरण सम्बन्धी अन्तर्राष्ट्रिय संस्थाका उच्च पदाधिकारीहरु, नेपाल बिद्युत प्राधिकरणका पूर्व पदाधिकारीहरु यस प्रतिबेदन प्रति समग्रमा सन्तुष्ट देखिएनन् । अझ कतिपय बुद्धिजीवि यस प्रतिबेदनको बिरोधमा देखिए, कतिले कटु आलोचा गरे र कोही त यो प्रतिबेदन प्रति आक्रामकरुपमा नैं प्रस्तुत भए । यस्तोमा यथार्थ के हो भन्ने जिज्ञासाबस सो प्रतिबेदन खोजेर पढ्ी हेर्दा देहायको अवस्था देखियो ।

प्रतिबेदनले ठम्याएका प्रभावहरु
यो प्रतिबेदन के निक्र्यौलमा पुगेको छ भने प्राय जसो बांधहरुबाट लक्षित भन्दा कम मात्र बिद्युतिय सेवा वा पानी उपलब्ध भएको देखिन्छ । अनि अर्को ठहर छ प्राय गरेर ठूला बांधहरु अपेक्षाकृत ढिलो गरेर सम्पन्न हुने र अनुमानित भन्दा धेरै बढी लागत लाग्ने गरेको छ । यस्तै िसंचाई तर्फ ५० प्रतिशत आयोजनाहरुले लक्ष पूर्ति गर्न सकेका छैनन् खर्च भएको लागतको अनुपातमा समुचित लाभ हुन सकेको छैन र अपेक्षा गरे भन्दा कम व्यक्ति क्षेत्र मात्र लाभान्वित भएको छ भन्ने पनि यो प्रतिबेदनको ठम्याई छ । यस्तै खाने पानीको लागि निर्मित ठूला बांध न त समयमा सम्पन्न भएका छन् न लक्ष्य लिए जति खाने पानी उपलब्ध गराउन सफल भएका छन् ।

ठूला बांधले नदीमा जलाधार क्षेत्रमा जलचरमा नकरात्मक प्रभाव मात्र परेको नभई जैबिक बिबिधता र पर्यावरणिय खति नै भएको यो प्रतिबेदनले देखेको छ । पर्यावरणमा परेको नकरात्मक प्रभाव न्यूनिकरण वा निराकरणार्थ गरिएको प्रयास पनि सीमित मात्रामा मात्र सफल भएको देखिन्छ । बाढी नियन्त्रणको लागि निर्मित बांध निर्माणोपरान्त बाढीको खतरायुक्त स्थानमा बसोबास बढ्नाले बाढीको बिभिषिकाबाट जनजीवन झन बढी जोखिम परेको छ । बांधहरुको कारणले विश्वका ६१ प्रतिशत नदीहरु छिन्नभिन्न (Fragmented) भएका छन् । बांधकै कारणले ५० प्रतिशत सिमसार क्षेत्र (Wetland) नासिएर गएको छ । अनि स्वच्छ पानीका जलचर मध्ये ३३ प्रतिशत पनि बांधकै कारणले लोप भईसकेका छन् वा लोप हुने खतरामा छन् ।

पारस्परिक सम्बन्धहरु
बांध निर्माणको सन्दर्भमा नदी नालामा बांध निर्माणबाट बिभिन्न तप्काका सम्बन्धहरुमा प्रभाव पर्ने र सम्बन्धहरुमा प्रभाव पर्ने सम्भावना हुने बारे यस प्रतिबेदनले बिस्तृत समिक्षा गरेको छ । प्रभाव पर्ने पहिलो सम्बन्ध हो मुलुकहरुका बीचको सम्बन्ध । नेपालकै उदाहरण लिने हो भने यति खेर हामी अरुण नदीमा बिभिन्न आयोजनाहरुको परिकल्पना गरिरहेका छौं जस्तै माथिल्लो अरुण अरुण तेश्रो र तल्लो अरुण । तर चीनको तिब्बतमा यस नदीमा आधारित ब्यापक िसंचाई आयोजनाहरु निर्माण भएको अवस्थामा नेपालले परिकल्पना गरिरहेका सबै वा सबैमा केही वा केही आयोजनामा तात्विक प्रभाव पर्ने हुन्छ अझ परिकल्पना कोरा कल्पनामा परिणत हुन्छन् । यही परिबेश नेपाल र भारत बीच पनि लागू हुन्छ । तर पानी खपत नहुने आयोजनाहरु (जस्तै जलबिद्युत) माथिल्लो तटीय मुलुकमा निर्माण गरिएको अवस्थामा भने तल्लो तटीय मुलुकलाई खासै असर पर्दैन ।

यो प्रतिबेदन त्यसकारण सम्बद्ध मुलुकहरु बीच सरसल्लाह वार्तालाप हुनु पर्छ भन्ने मान्यता राख्दछ र यो कुराले नेपाली जनमानस झस्कने गर्दछ विषेश गरेर भारतको सन्र्दभ संलग्न हुनासाथ । तर यहां बुझ्न आवश्यक के छ भने यस्तो सरसल्लाह पारस्परिकतामा आधारित हुन्छ । नेपालबाट बगेर भारत जाने नदीमा नेपालले वा भारतले आ-आफ्नो भूभागमा बांध बनाउंदा एक अर्कासंग सरसल्लाह गर्न पर्ने यस प्रतिबेदनको मान्यता छ । नेपालले मात्र एकपक्षिय रुपमा भारतको अनुमति लिन पर्ने र भारतले नेपालको सल्लाह बेगर जे गरे पनि हुन्छ भन्ने चािहं होइन । यही कुरा नेपाल र चीन बीच पनि समान तथा पारस्परिक रुपमा लागू हुन्छ ।

त्यसमा पनि पानी खपत नहुने आयोजनाका सम्बन्धमा यस्तो सरसल्लाह औपचारिकतामा मात्र सीमित हुन जान्छ, केही समय लाग्न सक्छ तर नेपालले आफ्नो विकाश निर्माण काम नै बन्धक राख्नु पर्छ भन्नु यथार्थबाट टाढा जानु हुन्छ । अझ नियालेर हेर्ने हो भने पानी खपत हुने आयोजनाको सम्बन्धमा पनि नेपालको स्थिति मजबूत छ गण्डकी र कोशी नदी प्रणालीहरुको सन्दर्भमा । गण्डकी र कोशी सम्बन्धी नेपाल भारत बीच भएका सन्धीहरु धेरै आलोच्य रहेको हामीले सुनेका छाै, तत्कालिन सरकार तथा सरकार प्रमुखलाई सरापेको देखिन्छ । तर यस्तो कालो बादलमा पनि चांदीको घेरा रहेको तथ्यसंग भने धेरै अपरिचित रहेको देखा पर्छ । गण्डकी नदीको हकमा यस नदी प्रणालीको जलाधार क्षेत्रबाट यसको पानी अन्यत्र नलगिकन जे जति पानी आवश्यक पर्छ नेपालले उपयोग गर्न पाउंछ, बांकी बचेको मात्र भारत तफै बगेर जान दिए हुन्छ, सप्तगण्डकी सन्धीको प्राबधान अनुसार । कोशी नदीको हकमा त जलाधार क्षेत्रको बन्देज समेत लाग्दैन नेपालले आफूलाई आवश्यक परे जति पानी उपयोग गर्न पाउने व्यवस्था कोशी सन्धीमा सुस्पष्ट छ । मेलम्चीको पानी सुरुंग खनेर काठमाडौं सप्तकोशी नदी प्रणालीबाट बाहिर लैजान उक्त सन्धीको यही प्रावधानले मिलेको छ र विश्व बैंक, एशियाली विकाश बैंकहरु यो आयोजनामा संलग्न हुन राजी भएका छन् । नत्र त विश्व बैंक आफ्नो संचालन दिग्दर्शिका (Operating Directives) को दफा ७५ उल्लंघन हुने अवस्थामा आर्थिक सहायता गर्न किन मान्थ्यो र ?

तल्लो तटीय तथा तथा माथिल्लो तटीय मुलुकहरु बीच सरसल्लाह र वार्तालापको आवश्यकता माथिल्लो तटीय मुलुकमा उच्च बांध तथा जलाशययुक्त आयोजना निर्माणको सन्दर्भमा पनि हुन आउंछ । मेरा मित्र दीपक ज्ञवालीले भने जस्तै नेपालमा उच्च बांध तथा जलाशययुक्त आयोजना निर्माण गर्नु भनेको भारतमा हुने बाढी नेपालतिर निकासी गर्नु जस्तै हो । त्यसकारण यस्तो स्थिति विकाश भएको अवस्थामा तल्लो तटीय मुलुकले माथिल्लो तटीय मुलुकमा निर्माण भएको उच्च बांध तथा जलाशययुक्त आयोजनाको कारणले हुने लाभमा माथिल्लो तटीय मुलुकलाई संलग्न गराउनु पर्छ यस सम्बन्धमा सरसल्लाह वार्तालाप दुई मुलुकमा हुन वान्छनिय हुन्छ । तर यस्तो नगर्ने नजीर नेपालले बनाई नैं सक्यो, पश्चिम सेती आयोजनाका प्रणेतासंग श्री ५ को सरकारले आयोजना सम्झौतामा दस्तखत गरेर । भारतसंग तल्लो तटीय फाइदा सम्बन्धमा सरसल्लाह वार्ता गरेर सहमतिमा पुगेरमा नेपालले यस्तो आयोजना सम्झौता गर्न पर्दथ्यो । यस परिप्रेक्ष्यमा सम्झन के आवश्यक छ भने तल्लो तटीय लाभ बाढी नियन्त्रण, बाढीको बिभिषिकाबाट सुरक्षा तथा बाढीको कारणले गर्न पर्ने पुनस्र्थापना आदिमा हुने खर्चमा बचतमा मात्र सीमित हुन्न । तल्लो तटीय क्षेत्रमा अरु पनि थुप्रै लाभ हुन्छ जस्तै िसंचाईको लागि अबिरल पानी सुक्खा लगायतका सबै खाले मौसममा प्राप्त हुनाले कृषि उत्पादन तथा उत्पादकत्वमा अभिबृद्धि हुने, नियन्त्रीत रुपमा खानेपानी तथा औद्योगिक प्रयोजनको लागि पानी सदा सर्बदा उपलब्ध हुने, नियन्त्रित रुपमा वाहै्र महीना पानीको बहाव हुंदा जलाधारमा सुधार लगायतका पर्यावरणिय लाभ हुनाको साथै मनोरंजन स्थलको विकाश हुने, जल परिवहन सर्वसुलभ भई ढुवानी लागतमा कमी आउने आदि । यस्तो परिबेशमा यो प्रतिबेदनले नेपालको स्थिति बरु मजबूत गरेको देखिन्छ ।

यो प्रतिबेदनले गाउं तथा शहर बीचको सम्बन्ध व्यवस्थित गर्न पर्ने कुरा पनि औंल्याएको छ । प्राय गरेर नदी नाला ग्रामिण क्षेत्रमा हुन्छ । अनि बिभिन्न आयोजना निर्माण गरेर सुबिधा शहर पुर् याइएको हुन्छ । सान्दर्भिक प्रश्न के हुन्छ भने जुन क्षेत्रको प्राकृतिक श्रोत हो त्यहांका बासिन्दालाई यस्ता आयोजना निर्माणबाट कुनै फाईदा नपुगेको अवस्थामा न्यायोचित व्यबहार भएको हुन्न । तसर्थ यी दुई थरी जनसमुदाय बीचको सम्बन्ध सन्तुलित पार्न यो प्रतिबेदनले जोड दिएको छ । यस्तै सम्बन्ध एउटै मुलुक भित्र पनि माथिल्लो तटीय र तल्लो तटीय निबासी बीच पनि उत्पन्न हुन्छ । तल्लो तटमा कुनै आयोजना निर्माणोपरान्त माथिल्लो तटमा बढी पानी खपत गरेको अवस्थामा तल्लो तटको आयोजना बन्द हुने स्थिति सृजना हुन्छ । त्यस्तै कुनै स्थानमा एउटा कामको लागि आयोजना निर्माण भएपछि अन्य कामको लागि पानी उपलब्ध नहुन अवस्था पनि आउंछ । जस्तै कर्णाली नदीमा जलाशययुक्त जलबिद्युत आयोजनाको लागि उच्च बांध निर्माण भएको खण्डमा तीला नदीबाट जुम्लाबासीले िसंचाई गर्न नमिल्ने अवस्था पनि खडा हुन्छ । त्यसकारण कुनै स्थान विषेशमा निश्चित समयमा पानीको कस्तो प्रकारले उपयोग गर्ने भन्ने प्राथमिकता निर्धारण गरेर सर्वाधिक जनतालाई लाभ हुने गरेर कुन आयोजना गर्ने, कुन नगर्ने भन्ने निक्र्योल गरेर आयोजना निर्माणतर्फ लाग्नु पर्छ । यसरी आयोजना निर्माण गर्दा प्रभाव पर्ने बासिन्दासंग सरसल्लाह गर्न पर्छ भनेर यो प्रतिबेदनले भन्दा आत्तिनु पर्ने कारण यी पंक्तिका लेखकको सानो बुद्धिले ठम्याउन सकेन ।

बांधहरु निर्बिकल्प होइनन्
साथै बांध निर्माण नगरेमा तात्विक विकाश नैं नहुने भन्ने पनि होइन भन्ने यस प्रतिबेदनको निष्कर्श छ । उपयुक्त प्रबिधिले धेरै बिकल्प दिन सक्छ निर्माण भईसकेका आयोजनाको संचालन तथा व्यवस्थापनमा सुधार गरेर पनि नयां बांध नबनाए हुने बिकल्प बिद्यमान हुन्छन् भन्ने पनि यो प्रतिबेदनले औंल्याएको छ । अझ मांगको कुशल व्यवस्थापन गरेर पनि पानी वा जलबिद्युतको मांग र आपूर्तिमा तालमेल ल्याउन सकिन्छ । त्यसैले नयां बांध थप निर्माण गर्नु, नयां आयोजना निर्माण गर्नुमा नै तात्विक विकाशको भ्रम रहेको अवस्थामा बाहेक यो प्रतिबेदनले तर्कसंगत तथा युक्तिसंगत कुरा नै अगाडी ल्याएको देखिन्छ ।

यो प्रतिबेदनले बांध भनेकै निर्माण नै गर्न हुन्न भनेर किहं कतै भनेको छैन । यो प्रतिबेदन तयार पार्न गठित आयोगमा यस्तो प्रकारको मान्यता सिद्धान्त र बिचार राख्ने व्यक्ति तथा समूहको प्रतिनिधित्व भएतापनि यो प्रतिबेदनले वातावरणिय अतिबादी बिचारधारालाई प्रश्रय नदिनु यस प्रतिबेदनमा निहित सन्तुलनको द्योतक हो ।

निर्णय गर्दा अबलम्बन गर्न पर्ने मूल्यहरु
यस प्रतिबेदनले बांध निर्माण सम्बन्धमा निर्णय गर्दा समता, कार्यकुशलता, सहभागितामूलक निर्णय प्रकृया, टिकाउ विकाश र जवाफदेहीताको आधारहरु अबलम्बन गर्न पर्छ भनेकोछ । यी कुराहरु युक्तिसंगत नै देखिन्छन् । एउटा मुलुकको प्राकृतिक श्रोत कुनै विषेश क्षेत्रका जनता मात्र लाभान्वित हुने गरेर बनाउंदा असन्तोष फैलन्छ र तदन्तरमा बिद्रोह हुन सक्छ । जुन क्षेत्रको प्राकृतिक श्रोत हो त्यहांका बासिन्दाले न्यायोचित लाभ त्यो प्राकृतिक श्रोतबाट प्राप्त गर्न सक्न पर्छ । अन्यथा प्रकारले निर्मित आयोजना धेरै अवधि सम्म निश्चिन्त संचालन हुन सक्दैन । संधै देशको राजधानी तथा अन्य प्रमुख शहरका बासिन्दाको उपभोगको लागि गाउं पाखामा अवस्थित प्राकृतिक श्रोत साधनको दोहन गर्नाले सम्बद्ध जनतामा बितृष्णा उत्पन्न हुन सक्छ र नकरात्मक परिणतिसंग सामना गर्न पर्ने हुन्छ ।

त्यस्तै न्यूनतम लागतमा अधिकतम लाभ हुनको लागि चाहिने कार्यकुशलता (Efficiency) नभएको अवस्थामा आयोजना निर्माण हुंदै जान्छ, एक पछि अर्को सेता हात्ति जन्मंदै जान्छ । आयोजनाबाट फाइदा/लाभ पाउनु त कता हो कता यस्ता सेता हात्ति पाल्नु नै एउट विकट समस्या बन्न जान्छ । यस्तो परिबेश समृद्ध मुलुकमा त सह्य हुन्न भने नेपाल जस्तो दरिद्र मुलुक यस्तो बिलासितामा धेरै समय टिक्न सक्दैन र क्षम्य पनि मान्न सकिन्न । तर, दृष्टान्ततः, दुर्भाग्यबस नेपालका धेरै जस्ता ठूला िसंचाई आयोजनाहरु निर्माण प्रारम्भ गर्दा लिईएको लक्ष्य सम्पन्न भएपछि कमै मात्र परिपूर्ति भएको देखिन्छ ।

यसै क्रममा प्राकृतिक श्रोतमा स्वाभाविक रुपले पहिलो हक स्थानिय जनतालाई हुन्छ र यिनलाई निर्णय प्रकृयामा संलग्न गराईएको अवस्थामा निर्माण कालमा र निर्माणोपरान्त खिचलो हुने स्थिति हुन्न भने अन्यथा भएमा स्थानिय जनताको पिरलोमा परेर आयोजना सम्पन्न भए पछि संचालनको काम सहज तथा सरल नहुने अवस्था आउंछ । अत्यधिक आलोचनाको लक्ष्य भएको यो प्रतिबेदनले दीगोपना (sustainability) मा जोड दिएर कुनै गल्ती गरेको जस्तो यस पंक्तिकारलाई लाग्दैन । अझ जवाफदेहीताको हकमा त नेपालमा दुर्लभ मूल्य मान्यता नै जवाफदेहीता हो । राजनेता नीति निर्माता सरकारी तथा अन्य निकायका कर्मचारीवर्गमा जवाफदेहीताको धारणाको विकाश नभए सम्म तद्अनुरुप आचरण गर्ने मनोभावना नआए सम्म नेपाल समृद्धशाली बन्ने सक्ने अवस्था छैन । नेपालमा विकाशको नाममा जे जति आयोजनाहरु निर्माण भएतापनि यस्तो काममा संलग्न हुनेमा जवाफदेहीता नहुने र यसको परिपालना गराउने संरचना तथा परिपाटी तयार नभए सम्म नेपालको तात्विक विकाश हुने देखिन्न ।

नयां नीतिको लागि सुझावहरु
यस प्रतिबेदनले नयां नीतिको लागि केही सान्दर्भिक तथा सापेक्ष सुझावहरु अघि सारेको देखिन्छ । पहिलो सुझाव छ निर्णय विषेश प्रति जनसाधारणको सहमति । यदी आयोजनाहरु समतामूलक छन् र सबै जोखिमहरु प्रति सजग छ, प्रभावित सबै समूहको हक अधिकारको सन्मान गरिएको छ भने बांध सम्बन्धी निर्णयमा जनसाधारणको सहमति सजिलै प्राप्त हुन्छ । यस प्रतिबेदनले अझ जोड के कुरामा दिएको छ भने सहमति पनि पूरा जानकारी पाइसकेर जनाईको सहमति (informed consent) हुनु पर्छ । त्यस्तै अर्को सुझाव यस प्रतिबेदनको के छ भने कुनै बांध निर्माण गर्ने निधो गर्न अगाडि व्यापकरुपमा उपलब्ध सबै बिकल्पहरु राम्ररी केलाउनु पर्छ । यदी बांधको बिकल्प अन्य केही उपाय छ भने त्यस्तो कार्यलाई प्राथमिकता दिनुपर्छ नकि कुनै व्यक्ति वा वर्ग वा समुदायको स्वार्थको लागि बांध बनोस । यसमा वित्तिय तथा आर्थिक पक्षहरु मात्र मूल्यांकन नगरेर सामाजिक, वातावरणिय पक्षहरु पनि मूल्यांकन गर्न आवश्यक यस प्रतिबेदनले देखेको छ ।

नेपालको लागि त्यति सान्दर्भिक नहुने अर्को सुझाव छ बिद्यमान बांधहरुबाट अधिकतम लाभ प्राप्त गर्न तिर पहिले प्रयास गरिनु पर्छ किनभने नेपालमा ठूला बांधहरु बनिसकेको अवस्था छैन । यस सन्दर्भमा उल्लेख्य कुरा त के छ भने पाश्चात्य मुलुकमा अन्यथाको स्थिति देखा परेर बिद्यमान बांधहरु हटाउन थालिएको छ । नेपालको लागि बढी सापेक्ष अर्को सुझाव के छ भने बांध निर्माण गर्दा नदीको पर्यावरण बिनास नगर्ने जलचर लोप हुने काम नगर्ने र नदीमा जीविकाको लागि आश्रितहरुको जीविकोपार्जनको माध्यम नखोसिने स्थिति विकाश गर्न अपरिहार्य छ । त्यस्तै जुन क्षेत्रको पहिलो हक कुनै नदीमा लाग्छ तिनीसंग आयोजना निर्माणबाट हुने लाभ समतामूलक रुपमा बांडफांट गर्ने । अनि अर्को सान्दर्भिक सुझाव के छ भने बांध निर्माणको सम्बन्धमा गरिएका प्रतिबद्धताहरु पूरा गर्ने । उदाहरणतः सामाजिक तथा वातावरणिय प्रभाव मूल्यांकन मात्र गरेर पुग्दैन यस्तो मूल्यांकन प्रतिबेदनले निदान गरेको सामाजिक तथा वातावरणिय प्रभाव निराकरण तथा न्यूनिकरणको लागि गर्ने भनिएको सबै काम निष्ठापूर्वक गर्ने । यस प्रतिबेदनको अन्तिम सुझाव छ नदीहरु शान्ती, सुरक्षा तथा विकाशको लागि समतामूलक रुपमा सम्बद्ध सबैले बांडचुंड गर्न पर्छ । यस कुरामा मतैक्य नहुने स्थिति यस कलमचीको कल्पना बाहिर छ ।

निष्कर्श
माथिका सबै बुंदाहरु गहिराई सम्म गएर चिन्तन मनन बिचार गर्ने हो भने नेपालको विकाश निर्माणमा अवरोध हुने स्थिति सृजना यो प्रतिबेदनले गरेको देखिन्न । तर पनि यस प्रतिबेदनको जुन रुपमा बिरोध भयो त्यो बुझ्न यस पंक्तिकारलाई कठिन परेको छ, सायद समझदारीमा कमी हुनाले । अर्कोतिर नेपालमा यतिखेर जलबिद्युत आयोजनामा लगानी गर्न हतार गरेर बिदेशीहरु लाम लागेर बसेको स्थिति पनि छैन । ७४ अर्ब रुपिया लागत अनुमान गरिएको अरुण तेश्रो आयोजना सम्पन्न गर्न अघि सर्ने तथाकथित बिदेशी लगानीकर्ता ४ करोड रुपिया कूल अनुमानित लागतको ०.०५ प्रतिशत रकम धरौटी राख्न नमानिराखेको यथार्थको धरातलमा बसेर हामीले सोच्न पर्छ । न आत्तिएर केही हुन्छ नत मात्तिएर वा पात्तिएर । यो प्रतिबेदन त बिगतमा बांध निर्माण गर्दा के कति कस्ता गल्ती भएछन् भन्ने निक्र्योल गर्न गरिएको एउटा प्रयास हो । भूतकालमा बांधहरु निर्माणको क्रममा के कस्ता भूल त्रुटी भए भन्ने पहिल्याउने यो एउटा सराहनिय प्रयास हो । हामीमा सद्बुद्धि हुने हो भने उनीहरुले गरेको गल्तीबाट हामीले सिक्नु पर्छ त्यस्ता गल्ती दोहर् याउनबाट बच्न पर्छ । उनीहरु आफुले गल्ती गरीसके हामीलाई त्यही काम गर्नबाट बंचित गर्न यो प्रतिबेदन ल्याएर षडयन्त्र गरेको छ भनेर अतिशयोक्ति युक्त धारणा ब्यक्त गर्नु बुद्धिमानी हुन्न बरु हास्यास्पद पो सुनिन्छ ।

विश्वमा रहेका ४५००० बांधहरु मध्ये १२५ बांधहरुको सर्बेक्षण गरेर तयार पारिएको यस प्रतिबेदनको निष्कर्शहरुसंग आक्रोसित हुनु पर्ने कारण त्यस्तो अवस्थामा हुन्थ्यो जब यो आयोगमा वातावरणिय अतिबादी संस्थाहरुले एकमना रुपले कुनै विकाश निर्माणको काम नै हुन नदिने कलुषित मनसायले प्रतिबेदन तयार गरको होस् । तर स्थिति त्यस्तो देखिन्न । यस आयोगको आयुक्तमा नर्मदा बचाउ अभियानका मेधा पाटकर जस्ता व्यक्तित्व पनि रहेको देखिन्छ भने बांध उद्योग, बांध निर्माणको व्यवसाय गर्ने तथा बांधसंग सम्बन्धित आयोजनाहरुको लागि आवश्यक मेशिनरी उपकरण सरसामग्री उत्पादन निर्माण गरेर बिक्री गर्ने व्यबसाय गर्नेहरु को पनि राम्रै प्रतिनिधित्व भएको देखिन्छ । नत यो प्रतिबेदनमा "सानो नै सुन्दर हुन्छ" भन्ने मान्यता राख्नेहरुले आफ्नो सिद्धान्त अरु माथि लाद्न गरेको प्रयास नै हो । अब्यवहारिक तथा वातावरणिय अतिबादीहरुले बांध निर्माणमा नै अवरोध लगाउने उद्देश्यले यस सम्बन्धी प्रतिबेदन बनाएको भए यो भन्दा धेरै कडा प्रतिबेदन आउने कुरा स्पष्ट नै छ ।

जल तथा शक्ति आयोगका सदस्य सचिवबाट यो प्रतिबेदनको सुझावलाई दीर्घकालिन जलश्रोत रणनीतिमा समाबेश गर्ने भन्ने भनाई सार्बजनि भयो र यस्तो भनाईलाई चािहं सन्तुलित मान्न पर्छ । तर यस सन्दर्भमा पनि बिचारणिय कुरा के छ भने श्री ५ को सरकारले चांडै नैं नयां जलबिद्युत नीति ल्याउने भएको परिपेक्ष्यमा सर्बप्रथम यही नीतिमा नै यो प्रतिबेदनका राम्रा बुंदाहरु प्रतिबिम्बित गर्नु पर्छ । किनभने रणनीति भनेको नीतिमा आधारित हुनु पर्ने हुन्छ र नीति एक तप्काको बनेमा रणनीतिमा जे लेखिएपनि कार्यान्वयन गर्न सकिने अवस्था हुन्न । साथै चांडै सार्बजनिक गरिने भनिएको नयां जलबिद्युत नीतिको आधारमा हाल बिद्यमान ऐन कानूनमा संशोधन समेत हुने हुनाले रणनीति र ऐन बाझेको अवस्थामा पनि रणनीति कागजमा मात्र सीमित रहने अवस्था आउंछ कार्यान्वयन हुन्न ।

Mechanics of Project Finance

Financing of any hydropower project involves getting the money and investing it in the implementation of the project. Largely, this holds true if such a project is being implemented as a government project or grant-funded project. This aspect can be deemed to be project finance in a wide sense whereas it has a specific meaning in limited sense. This can be clarified by contrasting the two meanings.

Whereas if a hydropower project is to be constructed and operated as a business proposition or in the case of a private sector it needs to worry about a number of other issues (more like risks) inherent in both of these activities. Moreover, a private sector entrepreneur also needs to worry about recovery of the investment and a decent return thereon as well as servicing of the debt if any debt financing is involved. This approach is much challenging as well as interesting besides being timely in view of liberalization, privatization and globalization. Therefore, let us examine various issues with respect to such financing by considering a number of financing scenarios.

EQUITY FINANCING
Purely equity financing of a hydropower project is a rarity, especially because this sector is capital-intensive with a long gestation period. But it is not unthinkable. Full equity financing of a hydropower project is basically applicable in the case of a private sector flush with fund, not needing to borrow from anywhere. Literally, in this context, financing involves using or investing own fund to construct or erect a project. There is not much to worry about in such a scenario as far as mobilizing fund is concerned or if a grant is available for the purpose.

Such a mode of financing has a few demerits for the investor. First of all, s/he[1] will solely be exposed to the full risk of the project. The developer’s exposure will be limited if s/he is able to leverage non-recourse fund[2] from lenders. Moreover, return on equity generally tends to be higher, depending upon the extent of leverage gained by higher ‘debt to equity’ ratio if the rate of return on total investment is higher than the rate of interest on loan.

DEBT FINANCING
At another extreme of the financing spectrum is borrowing full amount of the cost of the project. But such a scenario is also rare. Such borrowing is possible where the developer is able to provide full collateral, including an adequate margin against the loan, or enjoy high credit rating and is able to borrow against its balance sheet, or is able to provide a third party guarantee, including guarantee of the parent company. From the standpoint of exposure, in this scenario too, the developer or the surety or the developer’s parent company is exposed to the full risk of the project. A prudent businessperson will also stay away from such a type of financing.

However, when we are discussing debt financing, let us touch on a few of the concepts related to ‘debt’. The term, debt, is generally used interchangeably with loan, but there are a number of instruments available for the purpose and there are a number of different types of debt or loan.

Unsecured Debt
Generally, a borrower that enjoys high credit rating is able to borrow without providing any security in the form of collateral or guarantee from its parent company or third party. Such borrowing is known as unsecured loan. Financial institutions rely on the credit rating of the borrower based on its balance sheet in providing unsecured loan. Large, financially strong corporate undertakings are able to borrow without putting up collateral or providing other forms of security.

Secured Debt
Where a lender provides loan to a borrower on the basis of security furnished by the borrower, the debt is secured. Security against a loan may be perfected in several ways. The oldest form of security for the purpose of borrowing is pledging real property (even precious metal) as collateral. One may mortgage landed property in one’s ownership in order to borrow. In such an instance, a lender will be willing to advance a loan up to the value of such property minus a margin. An illustration is borrowing up to, say, 60 per cent of the value of land to construct a building on that land. In this instance, one real property is being mortgaged to create another real property. Another version of secured loan is where the lender keeps the title to the property procured with the loan as collateral. This happens in ‘lease purchase’. Here also, the margin will come to play in the form of down payment by the borrower. In both of these scenarios, the lender is able to resort to the property on which it has lien in case of default by the borrower.

Security for a loan can also be perfected without putting up real property as collateral. Financial institutions lend money against third party guarantee; a parent company can also stand guarantee for the loan taken by its subsidiary. In the event of default by the borrower, the loan and other amounts due in respect of such a loan will be recovered by the lender from such a guarantor.

PROJECT FINANCE
‘Project Finance’ can be described as lending money for a project by accepting the ‘project’ itself as the collateral so that the lender is enabled to step into the shoes of the borrower to continue with the project, whether under construction or in operation, in the event of default of lenders’ terms, conditions and covenants by the borrower. This is basically a way of perfecting security of a debt without having to put up collateral or furnish third party guarantee. It can also be described as a mix of debt and equity financing or ‘an instrument to perfect security of debt’.

This kind of financing can be loosely compared with ‘hire-purchase’, as the collateral for such financing is the item being procured under the scheme. However, project finance is distinct from hire-purchase because the assets procured under the latter scheme are registered in the lender’s name and repossession of the said asset, as a part of foreclosure, is rather simple while it is not so in the former. The exposure of both the developer and the lender is in proportion to their investment, essentially as per the debt to equity ratio. Moreover, the margin is available to the lender based on the debt to equity ratio.

Mechanisms and Mechanics of Perfecting Security under Project Finance
The following factors must be considered in loaning money on project finance basis for a hydropower project in order to perfect security:

1. Revenue: watertight arrangement for commercial operation during debt service period:
a) PPA – Assign it to the lender(s) with the Nepal Electricity Authority’s (NEA) consent.
b) Ensure that the revenue stream received from NEA is directed to a bank account specified by the lender. NEA will have to be approached for their concurrence.
c) Designate such a bank account as an ‘escrow account’ in which the lender shall have the first lien.
d) Allow the developer to withdraw money from such an account without any hindrance only to the extent necessary to operate the project plant and to maintain the plant in top condition pursuant to ‘prudent operating practices’.
e) Money to be automatically transferred to the lenders for their debt service (both principal and interest thereon) on specified dates.
f) Allow the developer to withdraw money from the account for the distribution of dividend to its shareholders, to the extent permissible based on fund balance in the escrow account after leaving an amount necessary to meet one (or the unit agreed between the borrower and lender) debt service obligation in immediate future.

2. Expenditure: watertight arrangement during construction period
a) Assign all contracts or agreements, inter alia, related to construction, supply, transportation, erection or installation, consultancies (design, engineering, supervision, etc), etc to the lenders so that the lender is able to continue to complete implementation and operation of the project in the case of default by the borrower by being able to step into the shoes of the borrower or have someone do so on the lender’s behalf. (Should even include employment contracts of key personnel that are indispensable for the implementation of the project!)
b) Ensure that the borrower company’s equity-holders inject their equity, at least, on pari passu basis, if not more, during the implementation of the project.
c) Ensure that both debt and equity for the project are injected into a dedicated bank account on which the lender has the first lien and outflows from this account are closely monitored by the lender.
d) Ensure that proper contractual arrangements are made such that (a) cost overrun and (b) time overrun are effectively avoided. (Time overrun tends to be more expensive than cost overrun due to additional interest during construction, loss of revenue and even penalty to NEA for delayed delivery of electricity.).
e) Ensure that there are no gaps and cracks between various contracts or agreements, which could increase the total project cost.
f) Ensure that the borrower company has or is able to access the necessary contingency fund to complete the project even if the project cost goes up due to unforeseen reasons.
g) Payments for construction closely supervised by lenders.

3. Safety-net: success or failure dependent on robust and sturdy safety-net of insurance
a) Risk assessment should be made to prepare a risk profile, which will dictate the insurance program.
b) Ensure that all necessary insurance policies are put in place in order to cover all exposures to all possible risks (e.g., CAR, EAR, TAR, ALOP, increase in cost due to devaluation, contractors’ equipment, third party liability, comprehensive workmen’s compensation, professional liability and so on and so forth). The words of the proposed insurance policies to be finalized in consultation with the lender.
c) Ensure that the lender is mentioned in such insurance policies as the co-insured in order to provide for the eventualities emanating from default by the borrower.
d) Ensure that the project’s cost estimate has adequately budgeted for the payment of insurance premium.

4. Documentation to perfect security
a) Execute loan agreement between the lender and the borrower to sign off on the arrangements agreed and put in place as listed above.
b) Have such agreement ‘registered’ wherein all tangible and intangible (various contracts, agreements, license, etc.) assets are mortgaged against the loan, enabling the lender to foreclose without having to resort to court of law.

Definition
Whereas the term “project finance” has a specific meaning in the limited sense. Project finance is a specific mode of financing used by financial institutions (FIs) under which the very project is accepted by FIs as collateral and no additional/external collateral is required for the purpose, thereby resulting in limited recourse to the institutions providing debt financing. In other words, the proponent that is able to find financing on “project finance” basis will not need to lodge other tangible/intangible asset as collateral. In the absence of “project finance” the proponent will need to put up tangible/intangible assets with a value higher than the debt amount to include a margin as collateral, corporate guarantee from third party or parent company, and so forth.

Under “Project Finance” the lenders accept the “project” itself as the collateral such that the lender is enabled to step into the shoes of the borrower to continue with the project, whether under construction or in operation, in the event of default of lenders’ terms, conditions and covenants by the borrower. Chilime project, that has borrowed Rs 1.39 billion from FIs, can be used as an illustration to further explain the term “project finance.” Nepal Electricity Authority holds 51% shares in Chilime Project Company and has also provided the “corporate guarantee” against the loan taken to finance Chilime project (including bridge loan to cover the proceed from sale of shares to general public and NEA staff). In other words, FIs have provided loan for Chilime project against the parent company guarantee of NEA and not against the project itself. Therefore, financing of Chilime project by the FIs is not based on “project finance.” There are a number of examples of such financing in the recent development of hydropower projects.

There underlying principle behind “project finance” is that the risk is shared pro rata between the developer (equity investor/s) and the lenders as well as managed by each financial stakeholder. This does not happen in other kinds of financing except when lenders provide unsecured debt. Therefore, “project finance” is basically a function of management of various risks and it entirely depends on how the security is perfected. Therefore, in the first part below various risks and the mitigation thereof shall be discussed and in the latter part the mechanism of perfecting security will be dealt with.


Risk Management
A few important risks and ways to mitigate them are dealt with below:

Foreign Exchange Risk
A developer can borrow locally or from foreign FIs but the borrower’s exposure to certain risk will be different depending upon the source of debt financing. There are mainly two types of risks that a borrower needs to be aware of while borrowing from a foreign lender.

Foreign exchange risk is inherent in foreign loan due to the fact that foreign currency tends to be relatively strong compared to relatively weak Nepali currency. This risk materializes with devaluation if revenue is denominated in local currency while having to service the loan denominated in foreign currency. There are two ways of mitigating this risk. Either have the tariff denominated in foreign currency in the PPA or use the hedge fund instrument.

Similarly, this risk may also be manifest in the rising cost of imports. This risk can be mitigated by (a) either having the tariff rate denominated in foreign currency or (b) by arranging insurance coverage against cost escalation.

Repatriation Risk
Another risk associated with foreign loan is “repatriation risk.” This becomes of greater concern to a foreign lender whether it will be able to repatriate the proceeds of debt servicing. Generally governments of developing countries, in their quest to attract foreign investment, have enacted legislation guaranteeing repatriation. If such a guarantee is not available, either the lender will not lend or charge exorbitant rates of interest. In Nepal, repatriation is guaranteed by Electricity Act, 2049 for hydropower projects specifically and additionally by Foreign Investment & Technology Transfer Act, 2049. A foreign equity investor is also subject to this risk but there is no problem as same repatriation provision is applicable to equity investors too.

Sovereign Risk (Country Risk)
A foreign entrepreneur investing in Nepal is exposed to risks such as those associated with the government’s creditworthiness, the possibility of confiscation, expropriation and nationalization, changes in the local political environment, and enforceability of contracts. These types of risk are known as sovereign and country risk. Multilateral Investment Guarantee Association (MIGA), a member of The World Bank Group does provide insure against such risk at a fee. However, the availability of such insurance is limited only to foreign investors.

Interest Rate Risk
It is now time we also touched upon the concept of interest rate risk. Lenders offer two kinds of interest rates: (a) floating rate and (b) fixed rate. Floating rate entails changes in it during the term of the loan, thereby introducing an element of uncertainty or risk for the borrower. Banks prefer floating rate as they need to be able to adapt to changes in financial market as well as to cover their own exposure to the vagaries of changing interest rates (including bank rate). For a developer floating rate regime is preferred when the rates, like now, have tendency to go down while fixed rate is the best way to mitigate this risk during the time when it has the tendency to head north. However, banks tend to add a margin to the then prevalent rate to cushion their own risk in developing a product based on fixed interest rate.

Inflation Risk
The real value of a unit of nominal currency tends to depreciate over time with inflation. Even hard currency is subject to this risk. Escalation in the rate of tariff is the only way to mitigate it, short of trying to hold down the inflation with one’s bare hands!

Legislative Change Risk
Here we are talking about the risk of changes in the country’s laws that (a) increases rates and taxes or other expenses and liabilities (b) reduces revenue of the project or (c) reduces the value of the assets. Such changes impact the viability of a project adversely. Generally an entrepreneur has to take such risk. However, it can also be mitigated by passing the impact through to the utility provided that the utility is amenable to it.

Market Risk
It is common knowledge amongst engineers that energy requires guaranteed market due to the constraint with regard to, primarily, storage and transmission of electric energy. A simple way to mitigate this risk is to sign a long term PPA with the utility.

Revenue Risk
A developer can have a long term PPA but such a PPA also may not ensure plant factor at a specific level if the utility accepts delivery of the energy at its pleasure, mainly in the case of a run-of-the-river type of project lacking pondage. This means there will not be a guaranteed stream of revenue to the project in order for it to meet its financial obligation with regard to (a) operation, maintenance and repairs, and (b) debt servicing. “Take or pay” provision in a PPA mitigates this risk.

However, with respect to both market risks and revenue risk, it needs to be noted that people have started to trade electric energy in the spot market in Western Europe.

Payment Risk
This risk emanates from the lack of creditworthiness on the part of the utility, buyer of the energy. In many developing countries, state-owned utilities do not have established credit histories and also suffer from records of poor management, over-employment, high leakage (technical or otherwise), etc.

Developers are known to ask the government to issue counter guarantee to cover for the payment risk. This basically entails a government standing surety to the fact that the utility pays its dues to the developer in time and in the case of the utility’s failure to meet its obligations the government is required to promptly make payments to mitigate the delinquency of the utility. Now a days multilateral funding agencies like the World Bank take a dim view of a government issuing counter guarantee. Having a letter of credit put in place by the utility with the IPP as the beneficiary is another way of mitigating this risk for the short term.

Construction Risks
Time and cost overrun risks is one group of construction risk of which time overrun risk results in loss of revenue as well, while it also increases total amount of interest during construction of the debt financing and may even attract penalty for late delivery of energy. Other construction risks are force majeure risk, geological risk, rated performance risk, design risk, etc. One can arrange insurance coverage against such risks by purchasing coverages like CAR, TAR, EAR, professional liability etc. including “advance loss of profit” insurance which can be complemented by signing a “fixed price” turnkey contract (or EPC contract) and incorporating a clause for imposition of liquidated damages on the contractor for delayed substantial completion or commissioning of the plant.

Environmental Risk
Hydropower projects are also susceptible to risks emanating for environmental reasons. But there is no insurance coverage that could be purchased to mitigate this risk. The best way to mitigate this risk is to have a reliable study conducted with a good plan to mitigate and minimize the adverse impact.

Hydrological Risk
The “take-or-pay” nature of the PPA guarantees the fact that all energy generated, depending on the availability of water, irrespective of whether the season is dry or wet, shall be turned into cash. However, if there is no water to generate energy due to the change in the level of precipitation, climatic reason or change in the hydrology of the catchment area then these projects are on their own. This risk emanates from the fact that seasonal rainfall patterns affect the amount of water available to a hydropower plant and generation may fall below contract levels in any season, thus threatening the revenue stream of such projects. Obviously a dry year will be an unmitigated disaster for a hydropower plant. The most effective way to mitigate hydrology risk is to gather hydrological data for a reasonable number of years in the past and design the project accordingly after having selected a project with better hydrological potential as well as information.


Mechanism and Mechanics of Perfecting Security under Project Finance

Following factors must be considered in lending money on project finance basis for a hydropower project in order to perfect the security:

1. Revenue – watertight arrangement for commercial operation during debt service period:


· Assign the PPA to the lender(s) with the Nepal Electricity Authority’s consent.
· Ensure that the revenue stream received from NEA is directed to a bank account specified by the lender. NEA will have to be approached for their concurrence.
· Designate such a bank account as an “escrow account” in which the lender shall have first lien.
· Allow the developer to withdraw money from such account without any hindrance only to the extent necessary to operate the project plant and to maintain the plant in top condition pursuant to “prudent operating practices.”
· Money to be automatically transferred to the lenders for their debt service (both principal and interest thereon) on specified dates.
· Allow the developer to withdraw money from the account for the distribution of dividend to its shareholders, to the extent permissible based on fund balance in the escrow account after leaving an amount necessary to meet one (or the unit agreed between the borrower and lender) debt service obligation in the immediate future.

2. Expenditure – watertight arrangement during construction period


· Assign all contracts/agreements, inter alia, related to construction, supply, transportation, erection/installation, consultancies (design, engineering, supervision, etc.) etc. to the lenders so that the lender is able to continue to complete implementation and operation of the project, in the case of default by the borrower, by being able to step into the shoes of the borrower or have someone do so on the lender’s behalf. (Should even include employment contracts of key personnel that are indispensable for the implementation of the project!)
· Ensure that the borrower company’s equity-holders inject their equity, at least, on pari passu basis, if not more, during the implementation of the project.
· Ensure that both debt and equity for the project is injected into a dedicated bank account, on which the lender has first lien, and outflows from this account is closely monitored by the lender/s.
· Ensure that proper contractual arrangements are made such that (a) cost overrun and (b) time overrun is effectively avoided. (Time overrun tends to be more expensive due to additional interest during construction, loss of revenue and even penalty to NEA for delayed delivery of electricity.)
· Ensure that there are no gaps and cracks between various contracts/agreements which could become reason for increase in the total project cost.
· Ensure that the borrower company has or is able to access necessary contingency fund to complete the project even if the project cost goes up due to unforeseen reasons.
· Payments for construction closely supervised by lenders.

3. Safety-net – success or failure depends on robust and sturdy safety-net of insurance coverage.


· Risk assessment should be made to prepare a risk profile which will dictate the insurance program.
· Ensure that all necessary insurance policies are put in place in order to cover all exposures to all possible risks (e.g. CAR, EAR, TAR, ALOP, increase in cost due to devaluation, contractor’s equipment, third party liability, comprehensive workmen’s compensation, professional liability and so on so forth). The words of the proposed insurance policies to be finalized in consultation with the lender.
· Ensure that the lender is mentioned in such insurance policies as the co-insured, in order to provide for the eventualities emanating from default by the borrower.
· Ensure that the project’s cost estimate has adequately budgeted for the payment of insurance premium.

4. Documentation to perfect security

· Execute loan agreement between the lender and the borrower to sign off on the arrangements agreed and put in place as listed above.
· Have such agreement “registered” wherein all tangible and intangible (various contracts, agreements, licenses, permits, approvals etc) assets are mortgaged against the loan enabling the lender to foreclose without having to resort to court of law.

Bottom-Line

A distinct difference between project finance loan and other types of loan (except for unsecured loans) is that the lender shares in the risk with the developer/promoter in the case of former while that may not be the case in the case of latter. Therefore, besides everything, the lenders will very minutely scrutinize three Cs (commitment, credibility and competence) with regard to the developer/promoter. Levels of confidence as well as comfort become very important for a lender venturing into project finance investment.

बिद्युत महशूल बृद्धि प्राधिकरणको लागि प्रत्युत्पादक हुन सक्छ

१३ जुलाई २००० मा नेपाल अधिराज्य तथा एशियाली बिकाश बैंक बीच सम्पन्न ऋण सम्झौतामा नेपाल बिद्युत प्राधिकरणले नयां आयोजनाको लागि २३ प्रतिशत स्वलगानी र प्रतिफलको दर पूनर्मूल्यांकित सम्पत्तिको ६ प्रतिशत पुर् याउन पर्ने बाध्यात्मक व्यवस्था छ । यसको लागि प्राधिकरणले महशूल दरमा ३० प्र।श।ले अभिबृद्धि गरेर कूल राजश्व बृद्धि हुने र यसको फलस्वरुप माथि उल्लिखित लक्ष्य हासिल गर्ने योजना बनाएको देखिन्छ । तर यस्तो खालको निक्र्योल एकदम सतही छ । एकातिर महशूल दर बृद्धि गर्दैमा स्वलगानी क्षमता तथा प्रतिफलमा बृद्धि नहुन सक्छ भने अर्कोतिर महशूल दर बृद्धि नगरिकन पनि प्राधिकरणको वित्तिय क्षमतामा अभिबृद्धि गरेर यसको स्वलगानी क्षमता तथा प्रतिफलमा बृद्धि ल्याउन सकिने तिर ध्यान गएको देखिन्न ।

मूल्य तथा मांग बीचको अन्तरस्रम्बन्ध
अर्थशास्त्रको एउटा साधारण बिद्यार्थिलाई पनि के ज्ञान हुन्छ भने मूल्य बृद्धि भए पछि मांग घट्छ । यसको एउटा मूख्य अपबाद हुन्छ लचकता नहुने (Inelastic) मांगको हकमा मूल्य बृद्धि भएता पनि मांग घट्दैन । केही बत्तिहरु मात्र बालेर न्यूनतम खपत गर्ने ग्राहकको मांगमा लचकता धेरै कम हुन्छ भने बिद्युतिय उपकरणहरु प्रशस्त प्रयोग गर्ने मध्यम वर्गिय परिवारको मांगमा सिमित लचकता हुन्छ ।

तर उद्योगहरुको बिद्युतिय उर्जाको मांगमा अत्यधिक लचकता हुन्छ । अर्थात मूल्य बृद्धि हुंदा मांग घट्छ र मूल्य घटेमा मांग बढ्छ । यस्तो अवस्था आउनुमा किताबी अर्थशास्त्रको सिद्धान्त मात्र कारक नभएर वस्तुगत यथार्थ नै कारक बन्न जान्छ । नेपालमा स्थापित उद्योगहरु होटलहरु आदिले खनिज इन्धनको प्रयोग गरेर बिजुली उत्पादन गर्ने जेनरेटरहरु खरिद गरिराखेका छन् प्राधिकरणले बिद्युत आपूर्ति नगरेको अवस्थामा उर्जा खपत गर्नको लागि । यस्ता जेनरेटरहरुको कूल क्षमता ६०००० किलोवाट बराबर छ भनिन्छ । हाल डिजेल प्रति लिटरको रु २३ परेको अवस्थामा यस्ता जेनरेटरबाट बिद्युत उत्पादन गरेर खपत गर्न रु ७ प्रति यूनिट पर्न आंउछ भने प्राधिकरणले हाल उपलब्ध गराउने बिजुलीको भारित औसत मूल्य रु ६।५९ मात्र हुनाले जेनरेटरबाट उत्पादन हुने बिजुली महंगो पर्न जान्छ ।

तर हाल प्रचलित महशूलमा ३० प्रतिशतले बृद्धि गरेको अवस्थामा प्रति यूनिट भारित औसत दर रु ८।५६ पर्न जान्छ जुन डिजेल जेनरेटरबाट निकालिने बिजुली भन्दा २२ प्र।श।ले महंगो हुन्छ । यस्तोमा जेनरेटरमा लगानी गरी सकेकाले प्राधिकरणको महंगो बिजुली प्रयोग गर्नुको सट्टा स्वभावतः आफ्नै जेनरेटर प्रयोग गर्ने स्थिति हुन्छ । तद्पश्चात यी जेनरेटरहरु ५० प्र।श। क्षमता मात्र चलेमा पनि २६३ गिगावाट घण्टा बिजुली बिक्री गर्नबाट बंचित भएर प्राधिकरणको प्रक्षेपित राजश्वमा रु २ अर्ब २५ करोडले ह्रास आउंछ । अथवा हाल प्रचलित दरमा प्राधिकरणले प्राप्त गर्ने कूल राजश्व भन्दा बढेको दरमा प्राप्त गर्ने कूल राजश्व उल्टो रु १७ करोडले कम हुन्छ र यो काम प्राधिकरणको लागि प्रत्युत्पादक हुने देखिन्छ ।

खेर गएको बिजुलीको प्रयोग
आर्थिक वर्ष २०५५।५६ मा प्राधिकरणसित १४७५ गिगावाट घण्टा बिजुली उपलब्ध भएकोमा कूल १११३ गिगावाट घण्टा बिजुली मात्र प्राधिकरणले बिक्री गरेको देखिन्छ । यसरी खेर गएको ३६२ गिगावाट घण्टा बिजुली हाल प्रचलित दरको आधा दर मात्रमा बिक्री गरेमा पनि प्राधिकरणलाई थप रु १ अर्ब १९ करोड राजश्व प्राप्त हुने देखिन्छ । अर्थात यस्तो खेर गएको बिजुली हाल प्रचलित दरको आधा मूल्यमा बिक्री गरेमा प्राधिकरणको आयकर अघिको खूद मुनाफा (Net Profit before Income Tax) दोब्बर भन्दा बढीले बृीद्ध हुने देखिन्छ । त्यसकारण प्राधिकरणले महसूलको दर बृद्धि नगरेर बढी मांग नभएको बखतमा (Offpeak) बिजुली सस्तोमा बिक्री गरेमा बरु लक्ष्य प्राप्त हुने देखिन्छ ।

अर्कोतिर खिम्ती भोटेकोशी र इन्द्रावती जस्ता आयोजनहरुसंग प्राधिकरणले गरेको बिद्युत खरिद सम्झौतामा निहित कमजोरीको कारणले अर्को वर्ष नैं प्राधिकरणको खेर जाने बिजुलीको परिमाणमा २५४ गिगावाट घण्टाले बृद्धि हुने अवस्था आउने देखिन्छ । यो परिमाणको बिजुली पनि त्यसै गरी आधा महशूलमा बिक्री गरेमा थप रु ८४ करोड राजश्व प्राधिकरणलाई प्राप्त हुने देखिन्छ र यो रकमले पनि प्राधिकरणको खूद मुनाफा प्रत्यक्ष बृद्धि गर्छ ।

आयोजनाका लागत र महशूल दर
महशूलको दर यति कायम गरेमा यो यति दरमा प्रतिफल आदिमा प्रभाव पर्छ भन्ने प्राधिकरणले प्रक्षेपण गरेको देखिन्छ । यस कार्यको लागि प्राधिकरणले हाल सम्म कार्यान्वयन गरेका आयोजनाहरुको लागतलाई आधार बनाएको छ र निकट बिगतमा निर्माण लागत प्रति किलोवाट ३००० डलर भन्दा बढी रहेको छ र हाल निर्माणाधीन काली गण्डकीको लागत पनि यो दर भन्दा बढी पर्ने स्थिति बिद्यमान छ । यस्तोमा आवश्यक महशूल दरको अंक धेरै हुनुमा कुनै आश्चर्य छैन ।

तर जलबिद्युत आयोजना कार्यान्वयन लागत भारत चीन जस्ता मुलुकमा नेपालको भन्दा गहकिलो रुपमा कम छ र नेपालमा पनि हाल निजी क्षेत्रबाट निर्मित निर्माणाधीन तथा निर्माण प्रारम्भ गर्ने तयारीमा रहेका आयोजनाहरुको निर्माण लागत सापेक्ष रुपमा कम छ । जस्तै खिम्ती २३०० डलर भोटेकोशी १९०० डलर चिलिमे १७०० डलर चाकु १८०० डलर र पिलुवा १३०० डलर परेको वा पर्ने स्थिति छ । त्यसकारण आगतको लागि महशूल निर्धारण गर्दा यसरी आयोजना निर्माण लागतमा आउन थालेको कमीलाई दृष्टिगत गरेर गर्न पर्छ र यसो गर्दा हाल प्रचलित महशूल दरमा धेरै बृद्धि गर्न आवश्यक देखिन्न ।

निजी क्षेत्रको परिवत्र्य बिदेशी मुद्रामा ऋण र प्राधिकरणले तिर्न पर्ने दर
उत्पादन खर्चमा थप (Cost Plus) सिद्धान्तको आधारमा प्राधिकरणले निजी क्षेत्रबाट निर्मित आयोजनालाई तिर्ने दर अमेरिकि मुद्रामा निर्धारित हुनाले परिवत्र्य बिदेशी मुद्राको तुलनामा नेपाली मुद्रा अवमूल्यन हुनासाथ प्राधिकरणले तिर्ने दर पनि बढ्छ । यस परिबेशमा खिम्ती जस्तो निर्माण कार्य सम्पन्न भई सकेको आयोजनाले लिएको परिवत्र्य मुद्राको ऋणलाई नेपाली मुद्राको ऋणले प्रतिस्थापन गरेर पनि प्राधिकरणले तिर्न पर्ने दर लगभग २५ प्र।श।ले घटाउन सकिने देखिन्छ ।

किनभने हाल खिम्तीमा कायम रहेको १० करोड अमेरिकि डलरको ऋण १० वर्षमा पूरा चुक्ता गर्न जम्मा १५।७ करोड डलर सांवा ब्याज स्वरुप भुक्तानी गर्न पर्छ भने सो ऋणलाई तत्काल नेपाली मुद्राको ऋणले प्रतिस्थापन (Refinancing) गरेको अवस्थामा सांवा ब्याज स्वरुप जम्मा १०।८ करोड डलर बराबर मात्र बुझाउनु पर्ने देखिन्छ यदि नेपाली मुद्रा बिगत दुई दशकमा जस्तै ९।३ प्रतिशतले अवमूल्यन हुने हो भने । यो रकमलाई नेपाली मुद्रामा तुलना गर्ने हो भने हाल कायम रहेको रु ७ अर्ब सांवाको चार वर्ष अगाडी सांवा रु ५।५ अर्ब मात्र भएको पनि स्मरणिय छ ऋण पूरा चुक्ता गर्न १० वर्षमा जम्मा रु १६।२ अर्ब सांवा ब्याज स्वरुप भुक्तानी गर्न पर्छ भने सो ऋणलाई तत्काल नेपाली मुद्राको ऋणले प्रतिस्थापन गरेको अवस्थामा सांवा ब्याज स्वरुप जम्मा १० वर्षमा जम्मा रु १०।५ अर्ब मात्र बुझाउनु पर्ने हुनआउंछ ।

प्राधिकरणले निजी क्षेत्रबाट खरिद गर्दा तिर्न पर्ने दर
प्राधिकरणले निजी क्षेत्रबाट निर्माण तथा संचालन हुने खिम्ती भोटेकोशी इन्द्रावती र माथिल्लो मोदी जस्ता आयोजनाहरुबाट बिजुली खरिद गर्ने सम्झौताहरु गरेको छ र यी सम्झौताहरुको कारण प्राधिकरण नोक्सानमा जाने सम्बन्धमा धेरै टिका टिप्पणी हुने गरेको छ । यी टिप्पणीहरु मध्ये एउटा महत्वपूर्ण टिप्पणी हो यसरी खरिद गरेको बिजुली प्राधिकरणले बिक्री गर्दा प्राधिकरणलाई घाटा पर्ने निश्चित छ । तर प्राधिकरणलाई नोक्सान पर्ने कारणले मात्र नभएर यी सम्झौताहरुमा निहित कमजोरीहरुको कारणले गर्दा यी सम्झौताहरु पुनरावलोकन पश्चात संशोधन गरेर पनि प्राधिकरणको लागत घटाउन सकिन्छ र यसरी घटेपछिको अवस्थामा प्राधिकरणका ग्राहकको महशूलमा ठूलो बृद्धि अनावश्यक हुन जान्छ ।

माथि उल्लिखित सबै आयोजनाबाट प्राधिकरणले तिर्ने दर निर्धारण गर्दा उत्पादन खर्चमा थप (Cost Plus) बिधि अपनाईएका छन् । तर जतिबेला यी दरहरु निर्धारण भए त्यसबखत यथार्थ उत्पादन खर्चको आंकडा उपलब्ध नहुनाले अनुमानित उत्पादन खर्च (Estimated Project Cost) लाई आधार बनाएर दर निर्धारण गरिएको थियो । अहिले निर्माण कार्य सम्पन्न भईसकेको अवस्थामा यथार्थ लागत थाहा भईसकेको पृष्ठभूमिमा सम्झौतामा तोकिएको दर ठीक भए नभएको पुनरावलोकन गर्न आवश्यक छ । यस सन्दर्भमा के स्मरणिय छ भने खिम्ती आयोजनाको लागत बढ्ने भएको आधारमा त्यस आयोजनाबाट खरिद गर्ने बिजुलीको दर बृद्धि गर्नको लागि सम्झौता नै संशोधन गरिएको थियो । तसर्थ उचित आधारहरुको पृष्टभूमि बनाएर यी सम्झौताहरु संशोधन गरेर पनि जनता माथि महशूल बृद्धिको भार लाद्न नपर्ने गर्न मिल्छ ।

यस प्रसंगमा भोटेकोशी आयोजनाको उदाहरण सान्दर्भिक हुन्छ । मेशिनरी उपकरण खरिद तथा जणन र निर्माण लागत जम्मा ६।८ करोड डलर र अन्य प्रशासकिय खर्च निर्माण अवधिको ब्याज आदि समेत ३ करोड डलर समेत गरेर यस आयोजनाको अनुमानित कूल लागत ९।८ करोड डलर भएको कारणले सन् १९९५ को मूल्यमा प्राधिकरणले तिर्ने दर ६ सेन्ट निर्धारित गरिएको थियो । हाल यो आयोजनाको मेशिनरी उपकरण खरिद तथा जडान र निर्माण लागत जम्मा ४।८ करोड डलर र अन्य प्रशासकिय खर्च निर्माण अवधिको ब्याज आदि समेत २ करोड डलर समेत गरेर कूल लागत ६।८ करोड डलरमा सम्पूर्ण निर्माणको काम सम्पन्न हुने भएको छ । यस्तोमा प्राधिकरणले यस आयोजनालाई तिर्ने दर समिक्षा गरेर घटाउन आवश्यक हुन आउंछ ।

निश्कर्ष
माथि उल्लिखित कारणहरुले गर्दा प्राधिकरणले महशूल दर नबढाईकन पनि स्वलगानी र प्रतिफलको दर बृद्धि गर्न सकिन्छ । यस बिपरित महशूलको दर बृद्धि गरेको अवस्थामा प्राधिकरणलाई प्रत्युत्पादक भई राजश्वमा नै ठूलो ह्रास आएर स्वलगानी र प्रतिफलका दरहरु उल्टो घट्न जाने मात्र नभएर ठूलै घाटा भएर टाट नै उल्टन सक्ने सम्भावना प्रबल छ ।

प्रस्तावित बिद्युत अध्यादेश २०६१ अधूरो, अपूरो छ

जलबिद्युत जस्तो पूंजी प्रधान पूर्वाधारसंरचनाको क्षेत्रमा लगानि गर्न निजी क्षेत्रलाई आकर्षित गर्ने उद्देश्यले नेपालमा पहिलो पटक जलबिद्युत विकाश नीति २०४९ जारी भएको ९ वर्ष पछि त्यसमा सुधार गर्ने उद्देश्यले जलबिद्युत विकाश नीति २०५८ जारी भएको झण्डै चार वर्ष पछि मात्र नयां नीतिलाई कार्यान्वयन गर्ने संयन्त्रको निमार्ण कार्य प्रारम्भ भएको छ । यस उद्देश्यले बिद्युत अध्यादेश २०६१ को मस्यौदा तयार गरेर जलश्रोत मन्त्रालयले जनसाधारणको छलफलमा ल्याएको छ । यसमा क केही जरुरी कुराहरु छुटेको ख केही कुरामा २०५८ सालमा जारी गरिएको नीतिसंग अमिल्दो र ग केही व्यवस्थाहरुमा सुधार आवश्यक छ ।

संसदिय समर्थन
नेपाल अधिराज्यको संबिधानको धारा १२६ मा "प्राकृतिक श्रोत तथा त्यसको उपयोगको बांडफांट" सम्बन्धी कागजातको "समर्थन संसदको दुबै सदनको संयुक्त बैठकमा उपस्थित सदस्यहरुको दुईतिहाई बहुमतले गर्नुपर्ने" व्यवस्था छ । तर बिद्यमान नीति २०५८ तथा बिद्युत ऐन २०४९ मा जस्तै प्रस्तावित अध्यादेश पनि यस सम्बन्धमा मौन छ । यसको एक अर्थ सम्बिधानमा जे सुकै लेखिएतापनि संसदको समर्थन नलिइकन "प्राकृतिक श्रोत तथा त्यसको उपयोगको बांडफांट" सम्बन्धमा श्री ५ को सरकारले परियोजना सम्झौता (Project Agreement) गर्न सक्छ अनुमति पत्र जारी गर्न सक्छ । तर यसबाट संबिधान उल्लघन तथा संसदको अधिकार हनन् हुन्छ । यस्तोमा अर्को अर्थ के लाग्छ भने बिद्यमान नीति तथा बिद्युत ऐन र प्रस्तावित अध्यादेश असम्बैधानिक छन् संसदको अधिकार हनन् कारक छन् ।

अर्को तिर हामीले बिदेशी लगानीकर्तालाई नेपालमा लगानी गर्न निरन्तर आमन्त्रण गरेका छांै आकृष्ट गर्न प्रयासरत छौं । तर बिदेशी लगानीकर्ताले अपेक्षा गर्ने कुरा पारदर्शिता हो र धारा १२६ सम्बन्धमा मौनताले अपारदर्शितालाई गाढा बनाउंछ । ती लगानिकर्तालाई जानकारी हुन अनिवार्य छ कि तिनले लिन खोजेको आयोजनाको लागि संसदिय समर्थन आवश्यक छ वा छैन । जुन कुरा सुस्पष्ट भएमा आशातीत रुपमा लगानी भित्रिने बढी सम्भावना हुन्छ । नत्र यस सम्बन्धी अन्यौलले गर्दा बिदेशी लगानीकर्ता हतोत्साहीत हुन्छन् र भई राखेका पनि छन् । त्यसकारण यस सम्बन्धमा अबिलम्ब प्रष्ट पार्न जरुरी छ ।

यो कुरा ७५० मेगावाटको पश्चिम सेती आयोजनामा चरितार्थ पनि भएको छ। श्री ५ को सरकारले निकासीमूलक आयोजनाको रुपमा अनुमतिपत्र दिनुका अलावा परियोजना सम्झौतामा पनि दस्तखत गरिसक्यो र भारतमा पनि बिद्युत निकासी गर्न आवश्यक सम्झौता पनि सम्पन्न हुने अवस्थामा पुगिसकेको बुझिन्छ । तर सम्बिधानको धारा १२६ को प्रकृया पूरा गरेको छैन । सब्र्बोच्च अदालतमा रिट पनि पर् यो । अहिलेको अवस्थामा यस्तो परिपाटीको पुनराबृत्ति हुने सम्भावनाले गर्दा बिदेशी लगानीकर्ता निरुत्साहित भएका छन् ।

तल्लो तटीय लाभ
जलाशययुक्त उच्चबाँध आयोजनाको अभावमा वर्षातमा धेरै बढी पानी वा बाढी नैं र सुख्खा मौसममा एकदम कम पानी उपलब्ध वा खडेरी नैं पर्ने हुनेमा यस्ता आयोजना निर्माण हुँदा तल्लो तटीय क्षेत्रमा बाह्रै महीना प्रचूर मात्रामा पानी नियन्त्रित रुपमा उपलब्ध हुन गई खानेपानी तथा िसंचाइको लागि वर्षभर पानी उपलब्ध हुन्छ । यसबाट सुख्खा मौसममा पनि िसंचाई उपलब्ध भई खेतीबाट थप उत्पादन भएर फाइदा पुग्छ । यस परिप्रेक्षमा स्मरणीय के छ भने हाल सम्म पानीको बिकल्प पत्ता लागेको छैन र लाग्ने सम्भावना पनि न्यून छ । साथै सँधै जसो वर्षातमा छिमेकी मुलुकमा बाढी आउनेमा नेपालमा उच्चबाँध निर्माण गरे पछि तल्लो तटीय क्षेत्रमा बाढी नियन्त्रण हुन्छ । यसो हुँदा बाढीले बिनास गरेर हुने क्षति र बाढीबाट प्रभावित जनतालाई पुनस्र्थापन आदिमा लाग्ने खर्चमा पूरै बचत हुन्छ ।

यस अतिरिक्त बाहै्र महिना पानीको बहाव हुँदा तल्लो तटीय क्षेत्रमा जलाधारमा सुधार लगायतका पर्यावरणिय लाभ हुनाको साथै मनोरंजन स्थलको विकाश हुन्छ । यस्तो स्थिति विकाशबाट जल परिवहन पनि बढी सर्वसुलभ हुन्छ र जसबाट ढुवानी लागतमा कमी आउँछ । खानको लागि चाहिने भन्दा बढी र िसंचाईको लागि चाहिने भन्दा कम पानी उद्योगको प्रयोगको लागि आवश्यक हुन्छ । बाहै्र महीना पानी उपलब्ध हुँदा तल्लो तटिय क्षेत्रमा नयाँ उद्योगहरु स्थापनामा प्रोत्साहन हुन्छ । यी यस्ता लाभको बांडफांट बारे मौन रहनाले यस्ता लाभबाट नेपाल बंचित हुन्छ र यस्तो कदम राष्ट्रघाती हुनजान्छ ।

आयोजनालाई आयकर छूट
आयकर छूटको व्यवस्था राम्रो मान्न सकिन्छ । बिद्युत ऐन २०४९ मा थियो नयां आय कर ऐनले हटायो जसलाई जलबिद्युत नीति २०५८ ले अनुसरण गर् यो । अहिले फेरि छूटको ब्यवस्था गरेको छ मस्यौदा अध्यादेशमा । तर के अर्थ मन्त्रालयको सहमति लिइएको छ लगानिकर्ताको दृष्टिकोणमा छूट हुन्छ हुन्न भन्नु भन्दा पनि नीतिमा स्थीरता महत्वपूर्ण हुन्छ । आयकर तिर्न पर्दैमा लगानि नआउने होईन । नाफा भए कर तिर्छ नाफा नहुने भए आयोजना नैं कार्यान्वयन हुन्न ।

बिद्युतिय उर्जाले उद्योग व्यवसाय यातायात पर्यटन शिक्षा स्वास्थ्य आदि क्षेत्रमा मूल्य अभिबृद्धि (value add) गर्ने हुनाले मुलुकको अर्थतन्त्रमा सकारात्मक प्रभाव पर्ने हुन्छ । तर बिजुली निकासी गर्दा यस्तो फाइदाबाट नेपाल बंचित हुने हुनाले यस्तोमा आयकर सुबिधा निष्प्रयोजन छ । अर्थात नेपाली अर्थतन्त्रमा थप गति आउने हुनाले नेपालमा खपत हुने गरी बिजुली उत्पादन गर्ने उत्पादकलाई आयकर सुबिधा दिनु राम्रो हो । तर अन्य मुलुकको अर्थतन्त्रमा सकारात्मक प्रभाव पार्न आयकर सुबिधा दिनु ती मुलुकको बिकासको लागि नेपालले आयकर त्याग गर्नु जस्तो हुन जान्छ । तसर्थ नेपालको प्राकृतिक श्रोतको प्रयोग गरेर उत्पादित बिजुली निकासी गर्ने उद्देश्यले बन्ने जलबिद्युत आयोजनाको हकमा आयकर सुबिधा सहुलियत दिनु नत जायज छ न आवश्यक नैं । नेपाली उद्योगधन्दा वा अन्य करदाताले जे जति आयकर तिर्छ त्यति नैं तिराउन पछ । स्मरणिय छ नेपालको प्राकृतिक श्रोत प्रयोग नगर्ने उद्योगधन्दा पारिश्रमिक आय आर्जन गर्ने सामान्य नेपाली तथा संगठित संस्थाले पनि २५ प्रतिशत सम्म आयकर स्वरुप तिर्न पर्दछ ।

निष्कर्श
माथि उल्लेख गरिएबमोजिमका गम्भिर त्रुटीहरु बिद्यमान राखेर अध्यादेश जारी गरिनु हुन्न । हुनत अध्यादेश जारी गर्नु अगाडि सर्बसाधारणलाई छलफल गर्ने मौका प्रदान गरेर श्री ५ को सरकारले सदाशयता देखाएको छ जुन सराहनिय छ । यसबाट छलफलबाट उठेको सुझाव प्रति श्री ५ को सरकारको सकारात्मक धारणा हुने प्रष्टै छ ।
